I think it will be hard for them to respond to your email Nando as whilst your feelings are understandable, there isn't specific questions..My question number 4 is one I thought hard about how to word in order to get an answer, even by no answer. With current circumstances they have to answer a question as though I was asking in person at the meeting.. So it's a "yes", or a "we can't answer that" which means it's a yes, they can not answer it which is a yes or they can say "no" .

Very good Crazytowner, I submitted the below last week but dont hold out much hope for a response

"Dear Sirs,


As a shareholder of the company and being asked to vote to authorise the release of an extra 1 billion shares I would appreciate more clarification as to what these shares, if issued, will be used for.


I hold close to 4 million shares and at present shall vote against this proposal. 


The information provided to shareholders is appalling. I myself have emailed the company previously asking for clarification of other issues and never received a reply. My shareholding has been diluted with poor funding arrangements and I am in the dark regarding current operations such as 2018 mining results and progress of the TEO along with the potential issue that this may not be completed.


Please provide your long suffering shareholders with more information as to the requirements of these shares as at present I cannot authorise their approval.

Below are the questions that I have submitted prior to the EGM. If I think of anymore then I will send as and when.


Dear Sir, Madam

As a shareholder in Amur Minerals Corporation and as per the RNS dated 2nd June 2020, please find below questions that I would like answered prior to the EGM.

1. The board of directors recently advised the market that the license was at risk if the lockdown was extended indefinitely and an extension to the 1st December 2020 deadline not granted.

As lockdowns around the world are now easing could the board of directors please advise whether they believe they are still able to achieve the 1st December 2020 deadline.

Could you also please advise whether an extension has been sought to the deadline, if it hasn’t yet, will it. If so, are the board of directors confident it will be granted.

2. The board of directors recently advised the market that Directors and Senior Staff have sacrificed salary and taken shares at a later date. Could you please advise whether this is still continuing. If so, which Directors and Senior Staff are taking part.

3. The reasons given for the EGM and share issue authority state that the shares are to be used for Mergers, Acquisitions & Investments.

Could you please provide examples of the type of investments that the board of directors would likely consider.

4. The board of Directors have advised us that Non Disclosure Agreements (NDAs) have been entered into in the past for various activities.

Whilst I appreciate details cannot be released, could you please advise whether an NDA or other form of confidentiality agreement is in place for a Merger, Acquisition or Investment for which the requested share issue authority is anticipated to be required for.

On a separate note, I would like to take this opportunity to make my views known to the board with respect to the recent options granted. Whilst I have no problem with options being used to incentivize and retain management and key Russian staff, the price at which they occurred was not acceptable, especially as the markets were in turmoil due to the pandemic and many investors have seen the value of their holdings reduce substantially over the last few years.
I therefore request that you review and amend the exercise price to 5p or more and change the remuneration committee members that thought this was acceptable.

So what questions have you asked the board?They gave clearly said they will answer all the questions that they are able to. Its not difficult, instead of just moaning about not knowing or being told, ask. .I suspect the reality is that you haven't asked any, in which case that simply means that you are a moaner to AMC investors on a free bulletin board.

I think the BOD would want the share price substantially higher.
They have to pay for their options and then need to see growth. I cant see RY being happy with doubling his money only from over 10 years of work and what will be his swan song

It is true that many LTH's will have an average price higher than the current share price. That may be the best reason why we do not listen to the possibly blinkered views of those who have just bought in and seem to think they're the only ones who have noticed the World needs nickel and a TAO is due in December. We know all about that, the point is do we trust the BOD to deliver on such a vague RNS without further information, given the potentially massive share dilution. Frankly I am surprised anyone does, particularly those who very recently called for their heads. For once I'd like this BOD to deliver in terms of information, getting the share price slightly above their latest option price so they're in the money doesn't cut it for me (and that is from someone who has averaged down in the recent crash).

Management could have taken some shares as part of their salaries instead of troughing on the fund raisers until recently. Or they could have allowed PI's the chance of some cheap giveaway shares instead of just those dodgy Investment houses, no names we know who they were, make easy money out of the deals.On NDAs. Whats wrong with leaving names out of rns as many small tech companies do? Tier 1, tier 2 etc. Minimum info but enough to keep investors in the loop.

For those people who are continually posting on the boards that they need more information before they can vote, not sharing others positivity or simply jealous of others purchases at these rediculously low levels..Have you even done the simplest thing which is send your questions through to the email address stated in the EGM RNS? .I guess not otherwise I'm sure people would have been posting them on here for real discussion. .Obviously it is easier sitting behind a free, anonymous board, complaining about the past, counting the thumbs ups and downs and hoping that others make the effort and get answers.. I will be sending in questions tomorrow to which I hope the answers will gain the support of those sat on the fence and therefore not jeapordise my investment due to the resolutions failing

We know that there is about 30 billion usd in a ground at Kun Magnier with potential to increase. 1billion shares and if they will just simply dump another 500m shares in to the market this will reduce the asset value to about 20b, is it worth to do so? The only option that would justify such huge reduction would be if the genuine investor come on board and invested hundreds of millions usd into infrastructure...500m shares - 10b asset value = infrastructure being build, if not than what a fu..are they doing, where are they going to invest new shares? What we, as investors, will get from it? I understand that they can not disclose full details, but simple maths are not confidential information, if they can tell us that this will generate income for amc then surely they can also tell us how much they are expecting, what will be done with the money and at what time frame are they looking???

They just simply MUST start answering our questions from next week, we can not, and I do hope that this will be voted down if no questions answered, allow them to treat us like idiots this time! This is a game changing time, we either finally will be told whats going on or they will be reported to Russian authorities, it is a game over, but either a game over with everyone, all investors, especially those who are here for 10 over years ( not myself, I'm less then 10 years, but I fully understand the pain the guys are suffering from these dump RY actions), benefiting and the real asset value is paying off the investors or it is a game over for Robin & Co by involving Russian Authorities for fraud investigation.

I also understand your positivity Hughez87, yes to stay in a game they had to either issue new shares or take loans, they have chosen to do so called "bringing investor value" deals with well known dodgy lenders and surprise surprise there is no share holder value at all...only significant paper losses...!Why not issue new shares to existing holders? Why do all these deals, knowing that these lenders will destroy the share price by constant, none stop, 3 years selling??? Why have they chosen to pay them all the huge interest rates??? Pay that with our hard earned money!!! They could have issued shares to the market instead, but no, they have made dodgy deals, telling us that anonymous investor is on board, pleased to announce they have managed to secure investor etc, but in reality the "investor/s" dumping shares for years...how and why should I trust them this time???

It does not matter when I entered into this share. I like to read about shares and the market and the worlds switch to EV cars and the shortage of the required commodities is not exactly secret knowledge. I would rather be positive than be negative about the potential of this one. The fundamentals check out so let's see what happens.

I'm in until TEO and takeover. I won't comment on your entry position but I am assuming it is a lot higher than mine. With the unprecedented impact of Coronavirus, I think they had to put out that RNS. That RNS was April, we are now only at start of June. We have had positive copper news although this didn't get a chance to sink in as they quickly following it up with a Placing RNS. We have had another what I see as a 'positive RNS' on the back of the Copper news regards possible merger, JV deal.What more do you want? Some clarity on the above possible deal would be nice which I am still hopeful we might get some inside on before the EGM.

Reading your comments would lead someone to believe you have been on this journey and have been a constant supporter, like some of the rest of us, but I have no recollection of you being around, so I wonder where your trust has sprung from.

In April they RNSdif the Company is unable to complete the associated work programme before the deadline, and if an extension to that deadline is not granted by the Russian authorities, it would put the licence at significant risk. The Company will continue to update investors regularly and in detail on its progress.Have they done that?I can't help but think that a few are looking at short term gain, having got in so low, and may well disappear back to where they came from one day just as quickly.I hope we are given more information prior to decision day. Regurgitating old promises isn't cutting it with me, despite the fact it pains me to argue with someone seeking positives about this company. I look forward to rejoining those ranks when I have more information.

New shares gives them flexibility to do whatever they need to to secure an off take or JV. Whether that is offering a small percentage of the company or whatever they need to do to secure Amur's financial position and in doing so it it's overall final objectives.I believe that whenever they do placings that they are necessary. They don't do it for personal gain. It's to keep the show on the road and are probably decisions not taken lightly. They have been on this journey for 10 years remember. At the end of day this is about whether you believe they will succeed in getting their TEO and getting the highest reward for shareholders. Why tie their hands and risk the whole project and get nothing for your shares.
