Many thanks to all those AMC shareholders who have contacted me there are now 42 members in the group with a combined shareholding of 84,185,761 shares so 84.18% of the way to our first target of 100m.

Our group's combined total holding is 6.04% of the issued share capital of AMC.

To request a general meeting to vote on returning the remaining cash in the company to shareholders should we not like the RTO then the Memorandum & Articles of Association state we need 30% to do so.

If AMC would have been a UK company then we would we would have already hit the target of 5% to requisition a general meeting as we own 5.98%

If you want to empower AMC shareholders then feel free to join our group as the more the merrier!

Even if you only have a small holding then you are welcome to join as it is not the size that counts but what you can do with it and that is to hold the AMC Board to account!

There are now 41 members in the group with a combined shareholding of 83,357,278 shares so 83.36% of the way to our first target of 100m.

Our group's combined total holding is 5.98% of the issued share capital of AMC.

Weekend update and we now have 17 members in the AMC Shareholders Share Action Group with a combined holding of 45,730,797 shares so 45.73% of the way to our first target of 100m shares.

We are still all waiting for the Board to get their head out of the sand and spring into action and provide us with tax guidance on the tax consequences of their decision to pay shareholders a special dividend of 1.80 pence per share.

Not long till the end of the 2023/2024 tax year end which is the 5 April 2024 and when AMC shareholders submit their tax return they are going to need the Board to have a tax document on their website.

A reminder that foreign dividends are subject to UK dividends tax if you are tax resident in the UK and you do not hold your shares in an ISA or other tax exempt wrapper.

Amur Minerals is domiciled in the British Virgin Islands so the special dividend is a foreign dividend as it is paid by a non UK Company.

The special dividend was paid on the 14 June 2023 so it is now 9 months since it was paid and the Board have not still not provided shareholders with tax guidance! If they have not done so after all that time then it would seem as if they are not going to do so.

Imagine paying a special dividend of $27,121,700 converted into Sterling and not seeking advice on the tax consequences of doing so!

If any one is interested in joining an AMC Shareholders Share Action Group then send me an email via gneissifyoucangetit@gmail.com and let me know how many shares you own and I will create a spreadsheet that contains members email addresses and their share holdings.

I will then let you all know the total amount of shares members own.

I will not share members email addresses with anyone else and when communicating with members I will send the email to myself and then blind copy all of you so you will only see my email address and no one else's.

The tax issue with the special dividend is yet another reason to create an AMC Shareholders Share Action Group as I will then have members email addresses and I can email you all the document that I am going to attach to my tax return.

It is highly likely that HMRC will be of the view that the special dividend is subject to UK dividends tax so we will have to argue the case in a tax tribunal that it is a return of capital rather than income in the hands of shareholders.

If the Judges decide in our favour then HMRC will have to process our tax returns based upon that decision.

The Board of AMC really have left AMC shareholders in the dark re the tax treatment of the special dividend as there is no guidance loaded onto the AMC website and the RNS stated "We have been advised that there are no capital gains or withholding tax issues on the disposal".

The above guidance only applies to the disposal of the subsidiary that owned the mining licence and not the payment of the special dividend.

Why did the Board not ask their tax advisors "what are the tax implications for shareholders if we pay them a special dividend?"

Both the advisors and the Board were paid sufficient money to provide an answer instead of burying their heads in the sand and hope the issue will go away!

The special dividend is to be paid out of the funds received for the sale of its Russian Federation Kun-Manie nickel -copper asset. As the funds have been sourced from a non-sanctioned entity in Russia, payment of the dividend has required extraordinary non-typical enhanced governance approaches for implementation of payment. Shareholders of record at the close of business 2 June 2023 will be entitled to payment of the dividend projected to be 14 June 2023. The shares will go ex-dividend on 1 June 2023. Given the transaction is based on the sale of a Russian asset, a ll shareholders need to register a dividend mandate for the Amur shareholding and receipt of the dividend. This varies based on the shareholder being an ordinary shareholder or a CREST shareholder. Ordinary Shareholders (Certificated) Ordinary shareholders (Certificated) are instructed to register your UK bank/building society account details in advance of the dividend record date by end of business 1 June 2023 to receive your cashless dividend projected to be 14 June 2023. If you do not register your details, your cashless dividend will be retained, until valid bank/building society details are received. Periodically, Link Registrars will conduct a review to identify post 1 June 2023 registered shareholders with payment being completed at a later date. Depository Interest Shareholders (CREST) Those that wish to receive payment in CREST, must undertake the necessary election in CREST before the record date of 2 June 2023. If a shareholder does not register their details, the cashless dividend will be retained, until valid details are received.
