06/12/2019 16:48 | Tyler I don't have to, I've not claimed they are voting one way or the other although I'd respectfully suggest most will follow BoD's recommendation when offer is at a premium based on past experience. It also doesn't follow that all IIs prepared to vote 'yes' would have tied themselves with irrevocable undertakings preventing them from voting for a higher bid. Some of those who are voting 'No' have suggested IIs will follow suit because they must also feel that the offer is derisory & management change is needed. I've yet to see any IIs state they are unhappy with the offer though, have you? I'd have been happy with a higher cash & Geopark (or other listed bidder) shares too! | rollthedice | |

AMER selling itself for less than we want is pretty mild compared to the lies & outright theft I've (& I'm sure you've) seen by directors on AIM over the years. Most AIM companies fail once they've spent every mug's money they could find or their assets/ideas are found to be useless, relatively speaking. A minority hit the big time. II funds who invest in AIM are by their very nature high risk so will not flog a dead horse when a cash offer at a premium is on the table, but take it and move on. | rollthedice | |

The 75% is 75% of the shares voted not 75% of the shares in issue so it isn't necessarily a high bar. IIs probably will be happy to be shot of this disappointing investment and will move on. I can't believe AMER represents more than a small fraction of a percent of many II portfolios so it won't make or break their performance. | kinwah | |

There is no evidence to suggest any are planning to vote against bid or indeed that they wouldn't consider competing bids if any were made (hence no irrevocable undertaking) to my knowledge. The deadline for ii for example for vote submissions is next Friday so unless the board were to react favourably to a new bid approach, time starts to run out quite quickly next week for any holders to withdraw their yes votes. Trading in AMER also seems to be drying up with only 1 million shares traded so far today. The larger holders will probably mostly vote yes to the deal but possibly many more shareholders by number will vote against but I'd expect the deal still to go through even though the result could be close. | kinwah | |

There's more to life than just money and that's all the remainers had to peddle and even those arguments were exaggerated or haven't come to pass. People did not vote against the status quo & for the likelihood of at least short term economic disruption unless they strongly believed that it's for the best. Holders should vote how they wish, I just don't get why you'd vote for continued failure, a depressed share price and for the same BoD responsible for both that & this 'sellout'. Those voting 'No' have yet to explain how rejecting a cash offer 50%+ higher than the pre-bid price will change this company from being a habitual underperformer. | rollthedice | |
