The relevant RNS was on 27 June, before the AGM. It was about two new Directors:

"Sam Dobbyn is a UK-based corporate executive with deep public markets experience and a proven record of optimising shareholder returns. Until March 2022, he was CEO and previously CFO of Urban Exposure PLC where he reduced the cost base, managed a sale process and ultimately delivered a successful delisting of the business."

That's what he does.

"Casey McDonald is a corporate governance and regulatory expert with over 25 years' experience of serving on boards and other fiduciary appointments." That also makes sense.

It is the right thing to do if some of the remaining holdings have some value but investment is needed. ALM have no money, so a placing would be needed.

Not good for shareholders though!!

SpectoAcc - it might be in liquidation... but it has done a great trade on Hurricane Energy... and should seek to "liquidate" Allied Minds by taking control... as it is the fiduciary duty of Crystal Amber to realize true value for its investment in Allied Minds...

Governance here has always been an issue. Goes private, that’s the last you’ll ever see of your investment. Haven’t held here for some years, probably not since I realised woodford was crook rather than a guru.

It has taken 6 months to conduct a strategic review and the result us a short statement regarding delisting the company! How much effort and costs have been used up for the review? The directors and board members should all be sacked!

See announcement this morning- planning to delist. Assume they have CA's agreement to this. Expect to see the shares fall sharply as those institutions that cannot hold private paper get out.

In March 2022, the Company announced that it was undertaking a formal strategic review, aimed at creating and / or realising shareholder value. As part of this strategic review, the Board has sought to ensure that the Company is being managed in as cost-efficient manner as possible. In conducting this review, the Board considers that the costs of maintaining a premium listing on the Official List and the Main Market of the London Stock Exchange are now prohibitively high relative to Allied Minds' current size and maintaining a public listing is no longer in the best interests of the Company and its Shareholders as a whole.

The Allied Minds Board therefore now intends to formally consult with shareholders regarding a possible delisting of the Company. Should the Board decide to proceed with a delisting, the Company will publish a shareholder circular detailing the rationale for the decision and giving notice of a General Meeting at which shareholders will vote on a resolution to delist and will set out the expected timetable for the delisting to become effective if the resolution to delist is passed.
