Aqua a company that AAA invested in was real. It was single handedly ran by its CEO, as he bounced from one HNW investor to the next to raise more money but ultimately was unable to nail anyone down. With the clock ticking he ran out of money and out of convincing stories. The funds to continue his dream were wrapped up in Audioboom, Audioboom for lack of better judgement as AAA was suspended became a AAA mk2, and saw a huge spike in interest. It's share price shot up, investors piled in. The coup de grĂ¢ce, the final nail in the coffin, was when the CEO let the super secret out that HLVFM were buying Boom at £30+ a share. The perfect shorting opportunity. Everyone's been fiddled out of their hard earned end of. The FCA will do nothing.

That's interesting, I guess you mean Richard Oldworth of Buchanan Communications, AAA's Financial PR firm. I have tried to e-mail and call in the past but calls not returned and e-mails not acknowledged. In and case I am not sure if they have any fiduciary responsibilities. Perhaps a letter to the Auditors, Hays McIntyre would be more productive?

I sent a letter through Richard Holdsworth to the new board asking them to respond in 8 weeks as per FCA guidelines with regard to the failures to manage affairs effectively over the past two years. Unsurprisingly no response and it is well past 8 weeks. The intent was and still is to raise with FCA as a significant shareholder an appeal for them to investigate. I’d welcome help. I’m based in UK if that helps.

The dilution effect is irrelevant compared to the stock devaluation of over 56x, it last traded at 56p.

Anyone know the extent to which raising £2m (presuming they succeed)at 1p dilutes our holdings?
Or does anyone know the unknowns we need to know in order to answer the question?

The new management want to out Bonnier and his mates. Get their money back that he borrowed, but claims he didn't borrow, then with Rosen try and takeover sentiance. In the meantime everything's stuck cos Bonnier is being a typical stalwart, uncompromising and only interested in his own personal fortune despite the financial interests of all the investors who backed up his plan.

Maybe they want to relist on AIM because 2023 is a hot year for AI (look at wand)

On the other hand £50k isn't enough IMO to restart AAA as a going concern

You would think though that some of these 'big boys' would like an exit opportunity before they buy the open offer? No point in being locked-in to a dead stock? So re-list of some sort further down the line?

Hong Kong based shareholders received the offer letter dated 10th July by Air mail last week, already too late to meet the application deadline of 14th July!

No financial information whatsoever is provided about Sentiance or AAA (state thereof after the delisting and Robert Bonnier debacle), though "some of the larger shareholders" who are backing this fund raising have presumably been privy to such information for some time.

Re - Open Offer for shareholders

I informed my broker about not receiving information from them and eventually they phoned the company as they did not receive any news of the Open offer either.

So AAA said will send the information to shareholders with a closing date of 26 July 23 for applying for shares.

Only 30M pounds poor sod. Not bad considering when he made his swap for Aaqua (AAA) those Shares were worth 6M. Plus he didn't even commit to payment of his 500,000Eu as prt of the investment. Poor old CV's sounds like a terrible trade.

Interesting part from court doc:c. The Claimant failed to disclose to the Court at an ex parte hearing on 25 July 2022 (the "Without Notice Hearing") that 2,000,000 of its shares in Audioboom had been pledged to the Bank of Singapore in February 2022 for which the Claimant received £30,000,000 in cash; and3d. Moreover, the Claimant has consistently refused to confirm and or deny that other Audioboom transactions were entered into, or that through third parties, deliberate short positions were created once the Claimant had received this cash from the Bank of Singapore.''In recent months other malicious matters including dealing in Audioboom shares, and active co-ordination between various parties and individuals have come to light. These will be addressed in the Damages Inquiry and the Defendants reserve all their legal rights to bring additional claims if so advised.''
