The biggest gain here is to utilise the tax losses of £100m. The best way to get the tax authorities to agree to allow tax losses to be utilised by a brought in business is if the Company maintain some semblance of a business which caused those losses in the first place. Unless you are a tax expert or accountant who can argue different ? Just so you can read up on the relevant tax legislation for yourself,you will find that if there is a major change in the nature of the business those losses are NOT available 16.Chapter 2 of Part 14 of CTA 2010 counters "loss buying" by restricting relief for carried forward corporation tax losses when a company carrying on a trade undergoes a change in ownership and where, within 3 years of that change in ownership, there is a major change in the nature or conduct of the trade, or where the change in ownership occurs after the company's activities in a trade become small or negligible and before any significant revival of the trade. At least you do not purport to actually KNOW what you are talking about. Mind you that rule has been around for ages, unless the new business is substantially the same as the previous one, you can't use the losses brought forward. He has been very keen to talk and answered all emails and texts etc with as much information as he can. All his replies have been posted on the TAVI board. TAVI very similar to ADI - Shell, with cash, no debt, tax losses to utilise. However chairman has a track record of working with shells.. | kennyruss | |
