17/5/2006 10:19 | Bruising Skywest takeover dogfight heads for soft landing NEALE PRIOR The sequel to one of this decade's most brutal WA takeover fights is set to be played out, with the Singapore-based controlling shareholder of regional airline Skywest moving to buy out minority shareholders. CaptiveVision Capital, now a subsidiary of London-listed Advent Air, last night launched a takeover bid to buy out minority shareholders with a cash and scrip offer at a premium of more than 15 per cent to Skywest's earlier closing price. The move comes 15 months after CaptiveVision and its chief executive, Jeff Chatfield, prevailed in a bruising takeover battle that included four firefights in the Takeovers Panel and even saw the former management float the company on the sharemarket as they tried to fend off the Singaporean suitor. But this latest bid is unlikely to be a bruiser, with the former board having been replaced and Mr Chatfield now the Perth-based company's chairman. Advent Air has told investors it plans to use Skywest and its high level air operator's certificate as the basis for building an Asian regional airline group. Last night's mop-up bid culminates a six-week run in Skywest shares that sent the stock from 21¢ at the end of March to finish at 28¢ yesterday. This has allowed investors in the sharemarket float to get a decent cash return in the wake of the stock falling below its 21¢ issue price within days of the float when two directors, former Skywest chairman Pat Ryan and non-executive director Clive Hartz, revealed they would be selling into CaptiveVision's 23¢-a-share cash bid. The mop-up offer is for 22.7¢ in cash plus 0.4171 Advent Air shares for every Skywest share. Based on the trading price in London of Advent shares and yesterday's exchange rate, the scrip component is valued at 10¢. This puts the value of the offer at about 33¢. Advent cleared its balance sheet for the bid three weeks ago by making a $17 million share placement that it said would allow it to pay down a $5 million debt, fund new aircraft purchases, develop new routes and increase its Skywest stake. | knowing | |
