You definitely have a point there and I've time and time again -

Those with no interest will simply change the ord, those with a vested interest will not want to do that to their own holdings -

But circumstance can dictate that as well -

Lets see what transpires -

Pwhite is the share price stays below nominal they the management can elect to change the ord to say 0.1p which will require a GM -

tomboyb - Yes you can do a premium placing but it has to be above the nominal value of 1p.

T101 - There is a reason why Align requisitioned the GM and its purely for financial gain. There is also a reason why the company has sought an injunction against NHNL and again its purely for financial gain. The only concern here for those who decide to take a punt now is that they cannot dilute you below 1p everything else is irrelevant.

i doubt that there is the liquidity out there for align or any of
the other big holders to get out. they are stuck with other as
ADME drifts towards oblivion. & frankly, they deserve each other.

The result is irrelevant. Whoever won would still need to raise finance. The key issue here is that there is no mug PI support for the shares and the shares are under the nominal value so all risk here as far as further dilution is concerned is with the institutions who supported Osa and anybody holding over 1p. They will need the share price above 1p to issue more shares as per the AGM result in Oct 2020.

The other thing you have to bear in mind is that brokers hate it when shareholders get restless and question what the management are up to. It means their chances of anything other than a massive discount are very poor, especially given that the last placing didn't go well and that was with OSA and his clowns being forced to buy a chunk. All routes out of this mess look terrible.

Mug punters don't necessarily need good news just a pack of lies will be sufficient which is what happens in most cases. Whatever it takes ADME need the price over 1p to further finance the company.

Lol, you clearly don't understand. I can give you plenty of other examples, and none of them are good for shareholders. The idea that they will punt the price up above 1p on hot air so that they can do a raise at what would be a premium to the current share price is just total nonsense. Adme is skint. They have zero good news for the mug punters. And they need cash and need it soon. The desperate cannot dictate terms. The next placing or death spiral finance will not be pretty.

This is my last word on the subject. In both cases you are still missing the point. No new shares have been issued under the nominal value. There is nowt wrong in taking the cash first because that's all it is cash then seeking to reorganise the share capital at a later date. If the capital reorganisation does not take place then the company will have to find some other means of repaying the lender or file for administration.

New shares cannot be listed below the nominal value.
