Agreements with ITIS Holdings plc ("ITIS")

Minorplanet Systems plc today announces that it has reached agreement with ITIS
Holdings plc to bring an end to the strategic partnership between Minorplanet
and Navtrak, the stolen vehicle tracking business of ITIS. The Company regains
the right to market full vehicle security services as part of its VMI fleet
management software.

The Company will also transfer to ITIS (subject to ITIS shareholder approval)
2,177,215 ordinary shares of 2 pence in ITIS, and retain 1,500,000 ordinary
shares. Any disposal of the retained shares is subject to an undertaking by the
Company to maintain an orderly market.

Commenting on the agreement, Rob Kelly Chief Executive said, "The ability to
offer full security services to our business customers has been identified for
some time as one of our priorities. We are delighted to have concluded this
agreement with ITIS, which allows both companies to concentrate fully on their
respective areas of expertise."
