Item 2.02. Results of Operations and Financial Condition.

On April 29, 2020, Peabody Energy Corporation ("Peabody") issued a press release setting forth Peabody’s first quarter 2020 financial results and suspending full-year 2020 guidance due to the impact of the COVID-19 pandemic and related uncertainty. A copy of Peabody’s press release is attached hereto as Exhibit 99.1.
