Superdry Performance Share Plan ("PSP"):

Vesting of 2015 Conditional Share Awards

On 14 August 2018, the conditional share awards granted over the ordinary shares of 5 pence each ("Ordinary Shares") in the capital of Superdry on 14 August 2015 under the Superdry 2015 PSP, vested in accordance with the PSP rules at 100 per cent. The PDMRs named below received in satisfaction of the vesting of their awards under the 2015 PSP, and subsequently sold, the number of Ordinary Shares set out against their names in the table immediately below. In the cases of Andrea Cartwright, Chris Lacey and Euan Sutherland the proceeds of the shares sold were used to settle the income tax, national insurance liability and dealing charges incurred as a result of their awards vesting. The balance of shares retained by the PDMRs is also set out in the table.
