24/6/2009 13:43 | As per the RNS all resolutions passed. Votes against for each resolution ranged from 0.25% to 0.92% - so pretty much unanimous. Had a chat with Mike Danson. He seems focussed on increasing the profitability of the group. TMN existing management are staying on to continue to manage that part of the business. The next couple of accounting cycles will be used to tidy up the accounts a lot as backward comparisons will be difficult at present due to all the prior acquisitions. They've received quite a bit of interest from potential institutional shareholders and also expecting to have more broker coverage and research notes following this going ahead. Hopefully this will help move the share price along, especially considering the small free float. | ashleighp | |

23/6/2009 15:26 | Nope, looks like a plant to make TMN shareholders think they have a good deal. I see that when Danson bought SPG less than a year ago for £10.4m (Nov 2008). Its last set of results showed it had £3.6m of net cash. He is now injecting his businesses (which don't seem to be making very much) into TMN with £9m of net debt and a £250k pension liability and giving us 75% dilution to boot. The more I dig into this deal the more I think it is an absolute stinker. Investecs note in January after a profit warning revised TMN's pre-tax numbers down to £2.5m so on my simple calcs if they've missed these numbers by 50% they still made over £1m and TMN's debt is only around £2m.
