Issue of Equity and Total Voting Rights

Second Share Allotment

The Directors of Triple Point VCT 2011 plc (the "Company") are pleased to announce the allotment of 63,037 B Ordinary Shares of 1p each on 5 April 2016 pursuant to the offer for subscription set out in a prospectus issued by the Company on 23 December 2015. The following shares were allotted to be admitted to the Official List:

39,199 shares of 1p each at a price of 102.041p per share

23,838 shares of 1p each at a price of 102.564p per share

Admission is expected to become effective on or around 19 April 2016.

As a consequence of this allotment the issued share capital and total voting rights (one vote per share) of the Company is now 36,132,330:

20,349,869 Ordinary Shares

9,951,133 A Ordinary Shares

5,831,328 B Ordinary Shares
