Publication of Supplementary Prospectus

NextEnergy Solar Fund Limited (LSE: NESF) announces the publication of a supplementary prospectus (the "Second Supplementary Prospectus"), which is supplemental to and must be read in conjunction with the first supplementary prospectus and the prospectus published by the Company on 15 November 2016, in connection with the placing programme in respect of the issue of up to 350,000,000 New Ordinary Shares and/or C Shares during the period commencing on 14 November 2016 and ending on 14 November 2017.

The Second Supplementary Prospectus is required following:

   --           announcement of the Company's audited results for the year ended 31 March 2017; and 

-- the proposed amendments to the Company's investment policy as set out in the circular to Shareholders dated 6 July 2017, which are conditional on approval by Shareholders at the AGM to be held on 24 August 2017; each of which constitutes a significant new factor relating to information published by the Company on 15 November 2016.

A copy of the Second Supplementary Prospectus has been submitted to the National Storage Mechanism and will be available shortly for inspection at www.morningstar.co.uk/uk/nsm. It will also be added to the Company's website, which is located at www.nextenergysolarfund.com.
