Results of Annual General Meeting
At the Annual General Meeting of Micro Focus International plc ("Micro Focus", LSE: MCRO.L) held at The Lawn, 22-30 Old Bath Road, Newbury, Berkshire, RG14 1QN at 3.00 p.m. on Thursday 22 September 2016 motions to amend Resolution 5 (relating to the approval of a new Additional Share Grant programme) and withdraw Resolution 20 (relating to the additional disapplication of statutory pre-emption rights) were proposed following discussions with ISS, IVIS and a number of shareholders, as detailed in the announcement made by Micro Focus on 12 September 2016 (the "Announcement"). These motions were approved by the meeting on a poll and, accordingly, Resolution 5 was duly amended as described in the Announcement and Resolution 20 was withdrawn. All the resolutions (other than Resolution 20 which was withdrawn) were duly passed on a poll vote.
The full text of the resolutions is shown in the Notice of Annual General Meeting (which, in case of Resolution 5, is amended in accordance with the Announcement). Full details of the poll vote on the motions and each resolution will be available on our website at www.microfocus.com.
A copy of all special resolutions passed has been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/NSM
