Change of External Auditors

Micro Focus International plc ("Micro Focus" or the "Company"), the global infrastructure software business, is pleased to announce its intention to appoint KPMG LLP ('KPMG') as its external auditor for the year ending 30 April 2018.

KPMG's appointment follows a competitive tender process led by the Audit Committee, resulting in a recommendation which was approved by the Board of the Company at a meeting yesterday. KPMG's appointment will be recommended to the Company's shareholders at the 2017 Annual General Meeting.

The Company's current auditor PricewaterhouseCoopers LLP ('PwC'), appointed at the 2016 Annual General Meeting, will continue in role and undertake the audit of the Group's consolidated accounts for the year ending 30 April 2017. PwC, KPMG and the Company will work together to ensure a smooth and seamless transition process. On PwC's retirement the Board will receive the required notification, in accordance with the applicable legislation in the United Kingdom, of any matters which need to be brought to the attention of either creditors or shareholders of the Company.

Commenting on the upcoming change Richard Atkins, Chairman of the Audit Committee, said

"PwC have been the Company's auditors since the IPO in 2005. The most recent change in audit partner happened in the year ended 30 April 2013, partner rotation therefore coincided with the legal requirement to go out to tender. The Board would like to thank PwC for the professionalism and commitment over the years. The Audit Committee carried out a detailed, open and transparent tender process and looks forward to working with KPMG in the future."
