Issue of Shares to Vutomi

Botswana Diamonds announces that, as per the announcement of 6(th) February 2017, the Company has today issued 3,210,527 ordinary shares of GBP 0.0025 each ("Ordinary Shares") to shareholders of Vutomi Mining Pty Ltd ("Vutomi") at the price of 1.9 pence per Ordinary Share ("New Share(s)") to settle the exclusivity and option fee element of the Company's Option and Earn-In Agreement with Vutomi (the "Agreement").

James Campbell, the Company's Managing Director, will receive 486,316 of the New Shares. Following the issue of these New Shares, James Campbell will hold 486,316 Ordinary Shares in the Company, which represents 0.13% of the Company's current issued share capital with voting rights.

Application has been made for the New Shares, which will rank pari passu with the existing Ordinary Shares, to be admitted to trading on AIM and it is expected that this will take place on or around 7(th) April 2017 ("Admission").

Following the Admission of the New Shares, Botswana Diamonds will have 378,386,408 Ordinary Shares in issue which will also represent the total number of voting rights in the Company. The above figure should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
