Capitalisation of Interest Payment on the USD 175 million Variable Rate Guaranteed Secured Notes due 2010/2014

XXI Century (AIM: XXIC) announces that the Company, pursuant to the terms and conditions of the USD 175 million Variable Rate Guaranteed Secured Notes due 2010/2014 as amended by the Supplemental Trust Deed dated 8 July 2009 (the "Notes"), has elected to capitalise the interest payment due in respect of the period from 8 July 2009 to 23 November 2009, amounting to USD 6,320,209 which would otherwise have fallen due on 24 November 2009.

The aforementioned arrangement reflects new terms and conditions arising from the successful restructuring of the Notes originally due 2010 and which the Company previously reported in its Trading Update of 20 July 2009.

Well its a long time suspended now and I'm getting concerned that they may never return to the market - surely they could have come to an agreement with the banks by now, after all they stated in the RNS that the deal was all but done.

Its starting to look like someone doesn't want a deal.

Would imagine those off market trades are simply a few market makers balancing their ledgers in anticipation of resuming trading. If one was short and had to balance at 70p, well thats got to be a very good omen for when the stock does resume.

Just a fan since Cup final '65 when they lost to L'pool.Am Vice Chairman Aberystwyth Town FC and was lucky enough to be mates with John Charles who was our Life President.

If your broker is halifax then they had BSP as suspended even when the RNS was out saying they were reslisted that very morning!

I've just put the phone down from my brokers and they're still suspended, and yet on yahoo finance they show a trade of 4000 at about 72p! Will keep an eye just incase it's a phoenix.

Something definitely happening - I am now seeing a price change, its as though they a checking that dealing can resume, hopefully in preparation for a relisting.

Update re Annual Report and Accounts / Interim Results

Following the announcements made by the Company on 1 July 2009, 20 July 2009 and 1 September 2009, in which the Board of Directors of XXIC reported ongoing negotiations with local banks regarding the restructuring of the Company's secured credit facilities, the Company is disappointed to announce that negotiations are still ongoing and, consequently, there will be a further delay in the publication of the Company's audited financial statements for the year ended 31 December 2008.

Whilst the main principles of the restructuring agreement have been reached, detailed binding documentation has yet to be finalised. The Company expects to execute such documentation with the banks relatively shortly and, accordingly, it should enable the Company's auditors to conclude their review and issue their opinion on the accounts for the year ending 31 December 2008.

Under the circumstances, the interim financial statements for the six months ended 30 June 2009 also remain subject to delay, pending publication of the annual accounts and, as a result, the Company's shares will remain temporarily suspended for trading on AIM.

The Company will provide further updates in due course.
