From the annual report....As of 31 December 2023, the Group's principal debt facilities comprise a $1,200.0m revolving credit facility maturing in October 2026Current debt is approx 900m and as I stated in my previous post they are Cash Flow positive..Could you explain how much your expecting this review of governance and controls to affect the balance sheet?

If there's a hostile T/O coming then the buyer will need the support of a number of major shareholders. Speed of execution will be critical.

The Franklin holding could be one of the first notifications.

It could get interesting...rather be in this than not - share price could double overnight.

Judging by the Buy/Sell action these last few days I suspect Franklin Mutual are out. I could be wrong but surely selling 35 million shares should lead to a TR1 holding RNS from a buyer.. Yesterday there was some very large OTC trades. What is everyone's thoughts?

Cash flow is more important than the intangibles on the balance sheet. Cash is king.

If you write down the value of assets for whatever reason and are left with goodwill on the balance sheet - well it doesn't matter as long as the company can generate cash from operations and service it's debt. If a company has 6 billion of revenue and has normal margins then it should be able to show a 10-year business plan that generates cash based its position in the market (reputation, capabilities, contracts, licenses, technology etc etc).

There's a long article re Wood on II from yesterday morning, summary at the end follows:

There looks a fair chance that risks linked to the accounting review are (more than) priced in. However, there is no margin of safety given $2.6 billion of net assets is covered 132% by goodwill and intangibles.

If the CFO was to buy significant shares, that would be a trigger. As yet, none of the directors has bought after this plunge.

It may renew takeover interest, however, once the review is published. Enough shareholders may be willing to remove a blot from their portfolios; even a recent buyer, Franklin Mutual, halved its stake to 2.5% in response to the update at around the share price lows.

The stance is thus now – to me – a fudge of “hold” where reasons exist still to anticipate upside, yet the situation has become too risky to rate an investment-grade “buy”.

Speculators appear to predominate in early dealings today with the price edging up 1p to 63p.
