A small acquisition which is being bought over five years which will be paid for in effect by the annual profits generated. So at no cost.

Directors don't normally invest in companies that then make negative announcements

There is a very good chance here that they will secure more large insurance contracts which underpins the quality of earnings


I know from experience that when people get leaks insurers insist you use their company rather than call out an emergency service and try and reclaim.

zipstuck Thanks for your comment. According to Stockopedia WATR is trading at a current year's PER of 26.7x falling to 22.8x in 2020. Given growth prospects this doesn't seem to me to be ridiculously expensive. I agree that buying WATR as much below 370p as possible is sensible...I've dipped my toe in. GLA

Non-Executive Directors Michael Reisman and Laura Hills have converted their respective 2019 director fees into newly issued ordinary shares for 4,153 Ordinary Shares each, pursuant to the Subscription. In addition, Laura Hills has also subscribed for 20,766 Ordinary Shares pursuant to the Subscription. Following the Fundraising, Mr. Reisman will hold 177,599 Ordinary Shares, representing 1.05% of the issued share capital of the Company, at Admission and Laura Hills will hold 114,230 Ordinary Shares, representing 0.68% of the issued share capital of the Company, at A
People's United Bank requires Patrick DeSouza to provide a personal guarantee for the Agreement. As consideration for offering a personal guarantee for the revised Agreement, which has provided commercial advantages to the Company including an additional $4 million line of credit with amortization over five-years for franchise reacquisitions and an extension of the working capital line which are core to the Group's growth strategy, Patrick DeSouza, will receive 850,000 partly paid shares (the "Partly Paid Shares").
These Partly Paid Shares carry full voting rights and shall rank pari passu in all respects with the ordinary shares but like options shall carry no economic rights until they are fully paid at 370 pence per share, having been issued nil paid. The Partly Paid Shares may not be sold, transferred or otherwise disposed while they remain partly paid. The Partly Paid Shares will not be admitted to tradingdmission


So De Sosaza has an option for 850,000 at 370 in exchange for the share sale collateral.

I did ask Pat about the Q1 update - his view was that they had adequately covered it in the final results - he highlighted this bit

"We have momentum financially and operationally and we have accelerated our efforts during the first third of 2019 across all business lines that form our strategic plan: We have signed another major insurance company partnership to feed the growth of our franchise royalty base; sold new franchises; closed three strategic reacquisitions of franchises; reaped strong organic growth across corporate locations; expanded of our municipal business, particularly in the U.S.; and unveiled a new proprietary technology product for diagnosing sewer blockages. These wins will reinforce our financial performance not only for 2019 but also for 2020 and beyond. We and our stakeholders are ready for the exciting journey ahead"

The presentation was very upbeat. The scaling of the business reminded me of the transformation that ABDP went through.

A small fundraiser: £3.2m and I would expect they know what to do with it. SO far acquisitions have been earnings enhancing but in the background they have been in investing in technology. WE'll see how this pans out. Also, the funds raised were at today's mid price. A coincidence perhaps. ANyway they don;t hang about.
