Listing Application & Total Voting Rights

WANdisco plc (LSE: WAND), the leading provider of continuous availability software for global enterprises to meet the challenges of Big Data, announces that an application has been made to the London Stock Exchange for the retrospective admission of 450,162 ordinary shares of 10p each in the Company ('New Ordinary Shares').

All of the New Ordinary Shares have been previously issued and allotted under the '2013 LTIP' employee share scheme in the period of 30 October 2014 to 22 December 2015.

The Company also hereby provides notification that application has been made to the London Stock Exchange for the blocklisting of 3,700,000 ordinary shares of 10p each ("Blocklisting Shares").

The Blocklisting Shares will be issued from time to time pursuant to the exercise of employee share options under the following schemes:

Following a recent employee stock option exercise in the period, the Company's current issued share capital consists of 29,574,059 ordinary shares of 10p each, with each share carrying the right to one vote. The Company holds no ordinary shares in Treasury, therefore, the total number of voting rights in the Company is 29,574,059.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.
