I agree with TW views, placing coming. I wouldn't consider investing unless current management are removed or step down. I'm surprised too ( and concerned) how large institutional shareholders have just seemingly watched this unfold this way without acting?

" Quite why the larger investors allowed all this to pass begars belief."

indeed, good point.

---

btw....if people read my analsis of 18-24 months ago you will see me warning about the bad performance of the comms division..repeating, not just a one off....and noting the on going reduction in staff numbers....ie. they did not expect a turn around..(and that imho the valuation of the software part was not enough to hold up the overall stk mkt capitalisation)...and that is how it has played out..

TW has been pretty scathing of VLK management in the past and I expect nothing different this time around.

It seems quite clear that the board have had great difficulty aligning their interests with those of the shareholders and in pushing lots of costs through as restructuring / exceptional.

The VCP / move to AIM and the large compensation packages have all been completely unjustified.

I don't think that I have seen anything terribly good written about Hawkins et al and yet despite PI protest they have stuck their heads down and carried on rewarding themselves unreasonably. Quite why the larger investors allowed all this to pass begars belief.

Bring on the tumbril.

What now for VLK?

Will they make a profit this financial year or further losses? Could the banks call in the loan and recoup their money by selling the company off?
With current management in place I don't think I want to even bottom fish in hope.
I'm expecting TW to comment on this at some point and he is good at accounts.

Well, I never said I was perfect! Can't get them right all the time. Still when a wrong un comes along might as well go down big time!! Apologies for getting this one wrong. Oh well back to the drawing board!

"jeffian - 16 Jun 2011 - 19:35:44 - 6268 of 9014
If you're referring to VLK, I'm out of these now (see 6261). I don't think it is a sting but I do believe that they will now fritter away the proceeds of the Hernis sale. I think they've bought themselves another couple of years' employment with our cash and when they've burned that they'll probably fall into the arms of a competitor for next to nothing. Good luck if you still hold."

OK, so it turned out to be 5 years, but the writing was on the wall.

How does one come to a conclusion of trusting a Director?...

---

Well, "not" trusting them can come from various things including

- rubbery RNS and accounts text which is over optimistic
things which looks to be hopes or possibles are written as likely or expected.....etc

- shocks in RNSs or accounts showing that mkt was not previously well informed or that the bod was bad at directing the co.

- dirs. taking too much in wages or in options....
as was the case at Vislink and widely discussed on these msg brds

- Hawkins apparently had dubious self profitting history before Vislink

It would help if VLK could get in some of the money owed by trade debtors.
It is difficult to see much to hope for here.

Lessons for PIs to learn from Vislink

all imho

a) if dirs. are filling their own pockets too much wrt shareholders or the company....
then get out....in 90% of cases it turns out badly

b) read and understand the accounts and numbers
and if you dont or cant then perhaps you are better to invest in a fund where the mgrs do understand the numbers and have a good track record.
YOu might pay 2%/year but if the mgrs are good then it is a fair-cheap price to pay perhaps unless you are an experienced-good investor.

c) give priority to numbers and low priority to blah blah blah !!
For many companies the blah blah blah is blatant lies.
London mkts, corrupt and unregulated imho.

d) see point b) !!

e) 'invest in good sectors' & where the company has barriers to protect sales and margins

Vislink did not meet that requirement. Most of turnover being from hardware sales in a competitive global market with much bigger companies in the USA and cheaper costs in many other countries.

is Hawkins insane/nuts ??

"and software bolt-on acquisitions which will further enhance the Group strategy of building a high margin, cash generative software business."

but company has NO MONEY to buy even the coffee for after lunch !!
never mind an acquisition !!

----

If dirs. have cancelled previous benefits scheme...
maybe they just write a new one !!...
maybe 30% of the co. now !

Only solution imho is a new bod.

imho a basic rule is never invest real money if you dont trust the dirs.....

wharghhhhhh !!!

My website was the only financial writer I think to say sell as it rose to 60p....adding 2nd website short around 60p....but I sweated a bit since whole mkt seemed to like Vislink....but I was sure that mkt was wrong...(my original analysis and calculations have been visible all this time on my website)

I then said "avoid" when it was down at 12-16p area

it is now 8-9p

-----

Been getting so many right...ENTU was another one.....P.Scott said buy, I said sell, it was about 150p. Now under 40p.
Snoozebox was another, P.Scott said buy, I said sell. (P.Scott later said sell I think) Snoozebox collapsed.
MOS, I said sell, follow directors....went from 70p to 5p. (still an avoid imho, unless they have a hat and a white rabbit)

On the buy side, more than doubled in few months by holding SPE.
Same for STM
Scysis was another buy tip, 60p area, now 90p, although website sold when mkts wobbled to protect cash and move to something else.
etc

And similar performance in last few years.

But still no people interested in subscribing (even willing to do a money back gtee if dont do well). Ah well.

"Senior management to voluntarily cancel the VCP Scheme" (the scheme whereby they would have been given a chunk of the company if the share price exceeded 69p by June 2017)

What a magnanimous sacrifice!
