I assume at least the initial cash has been recieved, going on this am RNS statement.

The following commentray for the remaining balance question taken from:

"The acquisition was paid for with $6.5 million in cash and a $9.5 million promissory note. xG presently plans to pay the promissory note off with a combination of new debt and internal funding."

Anyone following closely the events here?

What will PBS balance sheet look like with the proceeds fully paid? (assuming the buyer pays up fully that is). Will there be some cash?

"In addition there are significant write offs to recognise the final sale price achieved."

Sounds like PEB/VLK itself will have to fund the shortfall of todays profits warning in it's accounts.

Another grim RNS this morning. I wonder what this means for the actual sale price achieved?

And, why are RNSs now being issued in the name of the senior NED rather than Hawkins???

Inefficient to the end - in this morning's RNS we were told "A further announcement following completion of the disposal will be issued in due course".

Now it is evening and still no announcement so I started to worry if the buyer had failed to complete. It turns out that the buyer announced completion to NASDAQ hours ago so why not the same here?

Kestrel will know far more than me.
But, I've just checked out the financials of xG and they are dire.
I'm sure they are raising the money to buy VLK from somewhere, but they don't seem to say. They describe VLK assets as a steal in their press release, so I presume they think they can get the money from somewhere. They need to remember to cover the £10m debt as well.
So, I'd rather avoid the risk of this all falling through and take profits.

imho Hawkins career as an MD of listed or sizeable companies is over.....after the disaster at Vislink no other co. will touch him imho..
so....he might/will cling on to his job, pay and benefits like car, expense card, private medical cover, pension payments at VLK as long as he can !
since imho if he leaves he will just be sitting at home watching chat shows on TV !

$16m = £13m for VCS will mean another write-down. The assets of VCS had already been written down from £52.5m at 12/15 to £22.7m at 6/16.

What concerns me most is that this will now be a one-subsidiary company. Central overheads (£1.5m in H1) need to be drastically reduced before I will buy shares. Do we need a group head office? Do we need John Hawkins (2015 remuneration £462k) as Bakunin points out?

Pebble Beach is on an annual sales run-rate of £11m which makes almost £2m in profit.
Order intake was up 50% at the half-year report and there was the ultra bullish RNS about new orders a few days ago.
A profitable, focused software developer should be on a P/S of about 2, which means that the share price should eventually be 16p+.
If it is growing at that rate, the multiple assigned by the market ought to be higher still.
It will be interesting to hear what the strategy is going forward. I would imagine M&A will be mooted at some point, otherwise what do they need Hawkins et. al. for

This is great news going forward as the plan was to advance the pebble beach side and sell the hardware side as sales were slowing.

All we need now is for Mr H to step down after this deal is conluded within the next couple of months.

I'm looking to add if we get a dip below 12p but I doubt it will happen, so will have to bite the bullet and add at higher price as I think investors will come back for the medium/longer term growth story in pebble beach.
