Results of Meetings
Vipera plc (AIM:VIP), the specialist provider of mobile financial services, is pleased to announce the results of the Annual General Meeting and of the General Meeting held today.
At the Company's Annual General Meeting held today, all resolutions were passed.
In addition, at a General Meeting of Vipera held today to consider a Resolution to approve the Management Share Exchange Agreement entered into in connection with the offer (the "Offer") for Vipera by Sella Open Fintech Platform S.p.A. ("SOFP"), the Resolution was taken on a poll in accordance with the requirements of the Takeover Code and was passed.
51,941,202 votes were cast in favour of the Resolution and 178,339 against.
Neither SOFP nor any Participants in the Management Share Exchange voted at the meeting.
The passing of the Resolution satisfies one of the conditions of the Offer. The first closing date of the offer is 1.00pm tomorrow, June 22.
