Img - my punt on the success of the £1,82 bid looks like it might come off. It will only yield a gain of 4.83% on my buying price, but then I jumped in 6p too early.

Vanl - beginning to claw it's way upwards again, albeit slowly.

Rws - still Dithering from Darlaston.com Is my faith in Brode justified? Hmmm...

The underlying sales growth excluding the impact of the acquisition was quite low. I've taken profits. I remain of the view that TSTL is a high quality, cash generative company. However, as with many other companies currently the market is rating it exceptionally highly. The same came be said of BVXP. However I have no desire to take profits there because it's an extraordinarily high quality company and there is sound reason for its high rating despite this being a transition year.My general expectation for TSTL/BVXP share price over the next few months is for both to do next to nothing/drift.

TSTL : I topsliced my holding first thing, selling the extra shares that I picked up a few weeks ago around the 250p level.

Underlying sales growth of 7% not that exciting. Happy to keep a smaller holding for the longer term US growth.

RWS -> Agree on low quality of newly acquired business. Top 5 clients contribute 80% of revenue. Do they have sticky revenue? I would think it will be easy to choose another competitor whenever there is a new project?

APAD, re DOTOD. I used these two figures from their results.

· Revenue up 19% to £32.0m from £26.9m

· Average Revenue Per User ('ARPU') of £715, up 24% from £575

ARPU is up 24% while revenue is only up by 19%. That means number of clients must have gone down. They added 550 new clients this year. Comparing these figures to last year, i ended up with churn rate of 5% roughly translating into 2.5k less customers.

Placed at 425p. which is a bit better than the opinion that 411p would be the number.
I wonder if any of the big shareholders had an opportunity to get out above £5 before the announcement, and if the shares have gone to new holders.
If existing institutions have added, they will be hidebound by their terms/articles so may have to 'adjust' their weighting - sell the excess.
That will create a short term overhang and the price will stay soft for now. Others, who have not been able to buy may see the 'low' price a heaven sent opportunity to add.
That could well create volatility for now.
If hell bent on selling, I would pick a good day, when the market is on the up and the share price is sharing the sentiment.
I am still not sure of the real value of the enlarged group, so I can't throw out a number that would make any sense for the present.

I'm assuming that there will be RWS placing shares ready to be sold into short term strength for a while.
Not sure how to time my exit.

I do share your frustration. Bride obviously has a strategic plan that involves acquisitions. This one is a huge mouthful to swallow. He is positioning the company to operate in certain markets and to gain critical mass as a big player. I never imagined anything as big as this deal happening anytime soon.

Companies considering structuring a cash issue as a cashbox structure should be mindful of the views of their shareholder base and the perception of the wider investor community. Under the Principles, companies have a responsibility to signal an intention to seek a non pre-emptive issue at the earliest opportunity. Using the cashbox structure to raise capital opportunistically without proper dialogue with investors, as a few companies have been alleged to have done, is best avoided.

Rws - typical problem when dealing with small caps.
Acquisitions and funding for growth can lead to bouts of indigestion.
It is a good reason for top slicing from time to time. Maybe once you have got back the initial stake you can sleep a bit easier and let things run.

Just a generalization.

I am tending to agree with you.
We are getting "earnings enhancing in the first year" and "creates third division" but it is a very big sandwich to swallow in one go.
Do they have the infrastructure to assimilate it seamlessly into the existing businesses.
Brode is on a mission to create a much bigger operation, and you might expect bolt on's. This is different.
So far he has been right on his strategy.
I would imagine that the placing will be highly discounted to the current share price, which is well to the top end of the curve.

Not altogether happy.
