                              Stabilisation notice

   J.P. Morgan Securities Ltd. is the stabilising manager in relation to the
 ordinary shares of US$0.10 each of Vedanta Resources plc (ISIN GB0033277061).
Pursuant to Paragraph 3060 of the Rules of the London Stock Exchange, J.P.Morgan
     Securities Ltd. notifies the London Stock Exchange that it may conduct
 stabilising activities in relation to the ordinary shares of Vedanta Resources
 plc. Stabilisation may occur from today, December 5, 2003 up to and including
  January 2, 2004. A manager's option representing 15% of the global offer has
   been granted to J.P. Morgan Securities Ltd., which, if exercised in full,
         represents 19.5 million new shares issued at the offer price.

The issue price of the ordinary shares of Vedanta Resources plc is 390 pence per
ordinary share as announced at 7.00am on December 5, 2003. Stabilisation may
occur on the London Stock Exchange's main market for listed securities. No
associated security is being stabilised. Stabilisation, if commenced, may be
discontinued at any time.
