1gw, who misled investors on Byot, Trmr both which have fallen 90%, is now misleading them on TLY with his stories.

He must have lost a fortune on Byot and trmr to be that desperate.



No evidence of significant selling by major IIs > 3%.
All AGM resolutions passed. Total votes suggests all major IIs voted for.
Dividend and retain auditor resolutions passed unaminously. No evidence of fraud as suggested by 1gw and Quazzie12 and their mates.

Ex-divi date passed.
Lots of small trades over the past few weeks. Yet only a handful of PIs.


so... loads of misleading posts, 1gw and his mates telling readers what they should be doing and manipulation of the share price .


Now read below, read 1gw posts and look at the huge increase in shares on loan?

Headline from FT today

"Channel 4 may be forced to access debt facility after worst advertising decline since financial crisis"

Sure sounds like a hellish environment out there. Hopefully some of their lost business has migrated to CTV?

But for sure it seems advertising spend has indeed had a massive contraction. Thus 4 qrts of missed projections? Can't really blame it all on management? Very bad timing to have findally got the full platform up and running.

Are things now recovering? Frigging hope so. You can tell nobody knows. A lot of uncertainty in forward looking statements.

Maybe brand advertisers are genuinely side blinded but rapid shift from legacy to CTV and struggling to know how or when to deploy elsewhere such as into CTV.

A few more notes:
"The YoY decrease in Adj. EBITDA were driven by Amobee generating significant losses when we first acquired"

"I think the guidance that we give is cautious and conservative. "

"We bought Amobee last year and did 3 other acquisitions before that within 4 years. The AGM for AIM-listed companies has typically been the main opportunity for retail shareholders to talk directly to management. They still refer to this in their 2022 Annual Report, believe it or not:

"The Board recognises the AGM as an important opportunity to meet private shareholders. The directors – both non-executive and executive – are typically also available to speak to shareholders informally immediately following the AGM. The Company’s executive directors hosted an investor presentation in November 2022 specifically to engage with the private investor community.

Five of Tremor’s six non-executive directors are UK-based and available to meet with shareholders as requested."

A few numbers from reading the call and doing some napkin maths.

Bottom line FY Guidance implies:
-> Contribution ex-TAC of $86m in Q4 (YoY DROP from $103m 2022Q4) (QoQ Rise from $76.5m 2023Q3)
-> Adj EBITDA of $29m in Q4 (YoY DROP from $36.9m 2022Q4)(QoQ Rise from $21.3m 2023Q3)

-> FY Contribution ex-TAC of $310m is flat compared to $309.7m reported last year
-> Adj EBITDA of $80m is lower than $145m reported last year

Just looking at the major shareholders:
Mithaq Capital SPC - 23.9% - Riyadh
News Corp - 5.9% - USA
JB Capital Partners - 3.8% - Spain
Interactive Investor - 3.4% - USA
Ofer Druker - 3% - Israeli
so that's over 40% non-UK in just those five, and add in those holding through the USA listing...

2021 was the first to be held in Israel was it? 2020 was restricted due to the pandemic (just 1 director + 1 shareholder) and before 2020 (when called Taptica) the AGM was held in London, given it was an AIM company and most shareholders were (presumably) UK-based.

2019:
"Notice is hereby given that an Annual General Meeting of Taptica International Ltd. (the “Company”) will be held at the office of finnCap, 60 New Broad St, London, EC2M 1JJ on 13 June 2019"


2018:
"Notice is hereby given that an Annual General Meeting of Taptica International Ltd. (the “Company”) will be held at the office of finnCap, 60 New Broad St, London, EC2M 1JJ on 31 July 2018"


Taptica AIM Rule 26:

I think what people are getting at is the accessibility to turn up to an agm and have the opportunity to question management without the questions being filtered!….look at the shareholder register I would say there are very few Israeli investors outside of the free shareholding’s accumulated by management?……
I used to love going to an agm but this company is run for management convenience not shareholders imho……
