("Trafalgar", the "Company" or the "Group")
Result of General Meeting & Completion of Fundraise
Trafalgar (AIM: TRAF), the property development operations company, with a strategy to add an additional hydroponics business division, is pleased to announce that at the General Meeting held at 9.00 a.m. today at Peterhouse Capital Limited, 3rd Floor, 80 Cheapside, London EC2V 6EE, all the resolutions set out in the circular, dated 25 June 2020, were passed.
The Company is pleased to confirm that its broker, Peterhouse Capital Limited, has raised GBP750,000 for a Placing and Subscription at 0.08p per share, which will represent approximately 65.78 per cent of the issued share capital of the Company.
Admission to AIM
Following the announcement made on 25 June 2020 and the passing of the Resolutions at the General Meeting today, the 937,500,000 New Ordinary Shares will be admitted to trading on AIM at 8.00 a.m. on 14 July 2020 ("Admission"). The New Ordinary Shares will rank pari passu in all respects with the existing Ordinary Shares of the Company.
PDMR Shareholdings
Paul Treadaway, who is a Director, will subscribe for 81,250,000 Subscription Shares and be given a one for one warrant as part of his subscription. Following the issue of the Placing and Subscription Shares, Paul Treadaway's holding will increase to 187,734,658 New Ordinary Shares which represents approximately 13.17 per cent. of the Enlarged Issued Share Capital.

Total Voting Rights
Following Admission, the Company will have a total of 1,425,190,380 Ordinary Shares in issue with each Ordinary Share carrying the right of one vote. The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
