Result of general meeting, share reorganisation, change in total voting rights and name change

Trafalgar (AIM:TRAF), the AIM quoted residential property developer operating in southeast England, is pleased to announce that at its general meeting ("General Meeting") held earlier today, all resolutions were duly passed.

Accordingly, shareholder approval has been given for the Company to increase its share authorities to issue shares in respect of its acquisition of the entire issued share capital of Beaufort Homes Limited ("Beaufort Homes") (the "Acquisition"). Further details of the Acquisition can be found in the Company's announcement of 27 February 2018.

Pursuant to the Acquisition, application has been made for the 186,815,190 ordinary shares to be issued as consideration for Beaufort Homes to be admitted to trading on AIM on 19 March 2018 ("Admission").

Share reorganisation

Following the passing of the relevant resolutions at the General Meeting, the proposed share reorganisation, details of which can be found in the Company's announcement of 27 February 2018, will take place later today so that every existing ordinary share of 1p each will be subdivided into one ordinary share of 0.1p and one deferred share of 0.9p each. The Company's ISIN, SEDOL and TIDM will not change.

In connection with the share reorganisation, a resolution was passed at the General Meeting to approve an amendment to the Company's Articles of Association. The revised Articles of Association will shortly be available on the Company's website www.trafalgarnewhomes.co.uk.

Total voting rights

With effect from Admission, the Company's issued ordinary share capital will comprise 425,190,380 ordinary shares of 0.1p each, with one voting right each. The Company does not hold any shares in treasury. This figure of 425,190,380 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

Name change

Following the passing of the relevant resolution at the General Meeting, the Company's name is being changed to Trafalgar Property Group plc. It is anticipated that the name change will take effect later today and trading in the Company's ordinary shares on AIM will take place under the new name of Trafalgar Property Group plc from 8.00 a.m. on 19 March 2018, but under the same code (TIDM) of TRAF.
