THOMAS WALKER PLC ("Thomas Walker" or the "Company")



Extraordinary General Meeting requisitioned by Fiske Nominees Limited and
Onshore Petroleum Services Limited (the "Requisitionists")



The Board of Thomas Walker has today written to Shareholders giving notice of an
Extraordinary General Meeting of the Company to be held at the offices of Ernst
& Young LLP, One Colmore Row, Birmingham B3 2DB at 10.00 am on Friday 19
December 2003.



The Requisitionists currently hold more than 10 per cent of the Company's issued
share capital.  The resolution proposed by the Requisitionists requests the
Directors of the Company to give consideration to the payment of a special
dividend, of not less than 15 pence per share and not more than 25 pence per
share, to be paid to shareholders within thirty days following the receipt of
the balance of the sale proceeds of the Company's St Paul's Square property.



The Requisitionists have asked the Company to circulate a statement from
themselves to the Company's shareholders.  This is being circulated to
shareholders together with the notice convening the Extraordinary General
Meeting, and a letter from the Board of the Company explaining why the Directors
believe that the payment of a special dividend, as proposed by the
Requisitionists, would not be in the best long term interests of the Company.



The Board is therefore recommending shareholders to vote against the resolution,
as the Directors intend to do in respect of their own beneficial holdings
amounting to 273,950 ordinary shares, representing 4.4 per cent. of the existing
issued share capital of the Company.
