16/1/2025 10:13 | I am sure whatever route is taken will need to satisfy Pope after all this time. If funding is not an issue, it would be far easier to strengthen the BOD, agree a plan and let them deliver. Quick check with Gemini gives this result. In Canada, including companies listed on the Vancouver Stock Exchange (now part of the TSX Venture Exchange), there isn't one single percentage that guarantees a takeover or Management Buyout (MBO). It's a bit more nuanced than that. Here's a breakdown: Key thresholds and considerations: 20% - Triggering a Takeover Bid: If an acquirer (or a group acting together) acquires 20% or more of a company's voting shares, they are generally required to launch a formal takeover bid. This bid must be made to all shareholders, giving them the opportunity to sell their shares. 50% + 1 - Majority Control: To actually gain control of a company and ensure the takeover is successful, the acquirer needs to secure more than 50% (50% + 1 share) of the outstanding voting shares. This gives them the majority of voting rights and the ability to elect the board of directors. 90% - Compulsory Acquisition (Squeeze-out): If the acquirer reaches 90% ownership of the shares (excluding those held by the acquirer and their affiliates), they have the right to "squeeze out" the remaining minority shareholders. This means they can force the remaining shareholders to sell their shares at the same price offered in the takeover bid. Important Factors: Shareholder agreements: Some companies may have shareholder agreements in place that specify different requirements for a takeover. Voting rights: Different classes of shares may have different voting rights. It's important to consider the voting power of the shares being acquired, not just the percentage of outstanding shares. Board approval: In an MBO, the management team needs to secure the approval of the company's board of directors before proceeding with the buyout. Regulatory approvals: Certain takeovers may require regulatory approvals, especially in regulated industries. In summary: Acquiring 20% of the voting shares generally triggers a formal takeover bid process. Securing more than 50% of the voting shares is necessary to gain control of the company. Reaching 90% ownership allows the acquirer to force out remaining minority shareholders. It's crucial to consult with legal and financial professionals for specific advice on takeover regulations and requirements in Canada, as the specifics can vary depending on the company and the circumstances of the transaction. | ![]() bahamasoil
16/1/2025 09:05 | Jezzzzz! An MBO. Wouldn't that be a totally Cu#ty thing to do at this stage | ![]() 1399peter
16/1/2025 09:02 | Langland, They are certainly in a position to do that and who knows what the offer would be. As you say it probably won't be anywhere near true value. But we don't know if that will happen as we're all kept in the dark about the companies future direction and goals. I mean we've even had the rumoured possibility of a Nasdaq float 😂. Can't see it myself so perhaps it'll be an MBO as you suspect. | ![]() 1399peter
16/1/2025 08:27 | I have been in TPL longer than I care to remember but, obviously, am pleased to see the latest developments. However, with the publication of the updated shareholder list what is of considerable concern is the fact that we are a minority of about 11/12% if my understanding is correct. I would expect a tender offer at some stage at a not very favourable price. Any comment? | ![]() langland
16/1/2025 08:01 | Dr3dd. Because of US sanctions, even China and India are now turning away from Russian oil. The fact that Kazakhstan lies at the gateway between East and West opens up a huge opportunity as traditional oil routes get redirected. It is this opportunity that Kenges sees and his interest in using Tethys as a growth vehicle is highly significant. | ![]() tankerton

14/1/2025 05:03 | I also know that I am shooting from the hip. I do understand that I am not fully aware of the situation in Kaz or how difficult it has been dealing with the seemingly endless assault on the Tethys daily business. It is as someone once said. The easiest job in world to criticise. Ultimately we all want to see Tethys win the day and put an end to the total BS it has had to deal with from the Kaz authorities and local leaches. Onwards & upwards 🤞 | ![]() 1399peter
13/1/2025 17:12 | Tankerton You obviously do understand my logic as you refer to it in your next paragraph. "Peter, if it were the Tethys management then I could understand your logic" he is not a man for hanging about and we should see a marked improvement in the price. The thing Tethys have lacked over the years is clear leadership by someone with skin in the oil industry. I have said this previously. That Bill and his team are not oil men. They are a team of investors who have undoubtedly tried their best given the circumstances they have found themselves in. I do not doubt that they are honourable people but they have not until now courted the right people to help Tethys progress. Ok the situation has changed dramatically in central Asia and it now looks like their time to shine which has helped find Kenges. 1) Do I feel that Tethys management have been inaffective over the last 8yrs. I think the last 8yrs progress answers that question. 2) Do I feel that Bill has been let down by his team. I think he probably has 3) do I think Kenges will make Tethys great again. I certainly bloody hope so. | ![]() 1399peter
13/1/2025 14:47 | Tankerton, forget the troll,he obviously has a problem 🙄 Your input here is much appreciated and its really a compliment in a way that he continues to go to the trouble of voting you down. | ![]() cutliff2
13/1/2025 14:27 | Peter, if it were the Tethys management then I could understand your logic but I think you will find that Kenges will be elected to the board once his acquisitions have been given the all clear and once in control he is not a man for hanging about and we should see a marked improvement in the price. The thing Tethys have lacked over the years is clear leadership by someone with skin in the oil industry. In Kenges they now have a man who not only is well versed with the oil industry but is also highly influential with the Kaz authorities. We will see how this pans out but with the difference of opinions and the return of the troll I will not comment further until we have some concrete news. | ![]() tankerton
