Extension of DBAY deadline under Rule 2.6(c) of the Code

On 3 November 2020, Telit Communications PLC ("Telit" or the "Company") announced that it had received a preliminary approach from DBAY Advisors Limited, ("DBAY") regarding a possible offer for Telit to be made by funds under the management of DBAY. Telit also announced that it had received a preliminary approach from Lantronix, Inc., ("Lantronix") regarding a possible offer for the Company.

In accordance with Rule 2.6(a) of the Code, DBAY and Lantronix were each required, by no later than 5.00 p.m. on 1 December 2020, to either announce a firm intention to make an offer for the Company in accordance with Rule 2.7 of the Code or announce that they do not intend to make an offer for the Company, in which case the announcement would be treated as a statement to which Rule 2.8 of the Code applied.

Commercial discussions are ongoing with DBAY. In accordance with Rule 2.6(c) of the Code, the Board of Telit has requested that the Panel on Takeovers and Mergers (the "Panel") extends the deadline for DBAY referred to above. Accordingly, an extension has been granted by the Panel and DBAY must, by no later than 5.00 p.m. on 18 December 2020, either announce a firm intention to make an offer in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer for the Company, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline can be extended further with the consent of the Panel, at the Company's request, in accordance with Rule 2.6(c) of the Code.

The Company notes today's announcement by Lantronix and confirms that discussions with Lantronix are now terminated.

There can be no certainty that a firm offer will be made for the Company by DBAY or as to the terms of any such offer, if made.

A Dbay offer is more important to us, given they hold 15% of Telit already. Do they have to make a firm bid by tonight deadline too?

Looks like an earth tremor, or heart murmur trace there! The idea of getting taken over by a smaller company, and saddled with finance debt is obviously not considered in the best interest of the company - even if shareholders get cash. A U-Blox merger of equals is considered a better option by management.

I hope management are negotiating as hard as they can for the shareholders rather than negotiating their new packages with U-Blox if they nod the deal through at this low price.
