10/7/2018 12:17 | 1. Two positive Broker Notes yesterday. DEUTSCHE REITERATES BUY WITH TARGET PRICE 173p (180p) JPM CAZ UPGRADE FROM UNDERWEIGHT to NEUTRAL. 2. The heat is on. Page 18 in today's influential Lombard Column in the FT , leading article headed; " Shareholders right to fire pre-emptive shot across TalkTalk's bows ". Seems like Executive Chairman has not done himself any favours by cutting out rank-and-file shareholders from February's £200m share-placing, as the FT article puts TalkTalk's decision to ignore normal and cherished shareholder pre-emption rights under the spotlight. -Full article by Kate Burgess well worth reading. In my opinion, it just doesn't seem like fair play or good corporate etiquette or acceptable corporate governance to cut out rank-and-file long-standing loyal shareholders in favour of new shareholders such as Tosca Fund. Looks like next week's AGM is set to be a zinger-stinger. 3. In my opinion only, it's almost as if TalkTalk may or may not be welcoming the stake-building by highly regarded Tosca which has a strong reputation and track-record for shareholder activism and shaking up the Board and senior management of its investments. 09/7/2018 09:00 | Wouldn't surprise me in the least if The Board don't come in for a lot of tough questioning from Investors about a variety of matters at THE TALKTALK FORTHCOMING AGM on WEDNESDAY 18th. July - An unmissable event perhaps. Already The FT is suggesting on Page 19 that the February £200million share sale will "come under scrutiny" at the AGM because it was not offered to all shareholders. - Although certain entities/investors such as ToscaFund seem to have been favoured with an offer to participate which they wholeheartedly availed themselves of. The same FT article quotes the IAabout the £200m share sale who said that "Pre-emption rights are a vital share-holder protection" and also who said TalkTalk's actions were " a blatant disregard of industry-accepted standards" and the IA issued at the time a "red-top" warning. I can imagine also that there may or may not be also questions as to: -why the B2B sale to Daisy was pulled AND NO EXPLANATION WAS GIVEN. -what the current status is about the replacement of the outgoing COO. -whether any of the Board have met with Tosca.
