St. James's Place plc ("SJP")
Director/PDMR - shareholding
SJP has been advised of the following transactions in SJP ordinary shares by Jonathan McMahon, Persons Discharging Managerial Responsibilities ("PDMR").
On 02 May 2017 Mr McMahon exercised an option over 1,329 SJP shares, granted to him under the SJP Sharesave Scheme on 25 March 2014, at an option price of GBP6.77 per ordinary share. Subsequent to the exercise Mr McMahon sold the same number of shares at a price of GBP11.52. Following these transactions Mr McMahon's shareholding in SJP is 40,261 ordinary shares.
(i) The interests of the PDMR includes those of his Connected Persons as defined in section 96B(2) of the Financial Services and Markets Act.
(ii) Mr McMahon's interest includes his deferred bonus scheme awards held in trust which have not yet vested and are subject to forfeiture.
This notification is made in accordance with Article 19(3) of Regulation (EU) No 596/2014 (Market Abuse Regulation).
