St James's Place plc - Additional Listing and notification of transaction by a Person Discharging Managerial Responsibility ("PDMR")

Applications have been made to the Financial Conduct Authority and the London Stock Exchange for a total of 372,325 ordinary shares of 15 pence each credited as fully paid (the "Shares") in St James's Place plc (the "Company"), to trade on the London Stock Exchange and to be admitted to the Official List.

The Shares will be issued to satisfy certain consideration due under the terms of the acquisition of the Rowan Dartington Group by the Company in March 2016.

It is expected that admission will be effective on 8 September 2017. When issued, the Shares will rank pari passu in all respects with the Company's existing ordinary shares.

As a consequence of the above, Mr Graham Peter Coxell, a PDMR, will acquire 142,102 shares when the Shares are allotted. Following this acquisition Mr Coxell's shareholding in the Company will be 188,527 shares. The PDMR notification is made in accordance with the EU Market Abuse Regulation and updates the information previously communicated in the announcement made on 28 March 2017.
