So add more than twice as many shares as currently in issue.
However warrants at 10 pence and options close to current share price

Right now, still leaves a lot of Jam, but not so good at
higher share price

What do you make of that? Stemis? It looks like we could have around 6 million further shares made up of options and warrants although of course the warrants add 10p to the NAV per share whilst the options erm 19.5p ?

Assuming that the company meets all conditions, and that all options and warrants are exercised, the current maximum number of shares that would be in issue would total 26,116,000.

Page 23 of the prospectus clearly states the maximum number of defered consideration shares which is 13078668

Regarding warrants and options I am lost its so confusing I can make no sense of it, does anyone have an investors relation email address?

Confusing yes. I talked to a director before I first bought at 15p and he stated that 'off the top of his head' if they reached their forecasts that they would earn about 8p eps. This ties in with what SteMIS is saying.

However when I saw the forecast had only been beaten by 286k that didnt tie in with the prospectus figure which was far lower meaning the forecast had been smashed! Also the fully diluted figure in the accounts I thought would be taking into consideration ANY future dilution,in the ED report too.


I took my lead from director buying upto 20p ish the possible strong grow of the market, and such a tiny company having an awful lot of room to grow and indeed the strength of the management.


I will look forward to seeing any response here too about the true state of warrants/options and ds.

I suppose the question is, will there be anything left for the ordinary shareholder after the deferred consideration shares have been issued and warrants exercised?

It's not clear to me just how many warrants there are. On re-admission there were 2.5m. On 13.11.09 they announced the issue of 2.9m (are any of these the same or are they all new?). On 10.2.10 2.1m options were issued and another 0.3m warrants on 23.4.10.

Then we have the deferred consideration shares. It's not clear how many these could be but the percentages seem to imply about 13.2m.

CO2P seem loathe to disclose how many warrants/options are in issue and how many deferred consideration shares there could be. Does anybody on this board know?

It's doesn't look like Equity Development can have taken account of everyting in their note, otherwise the diluted EPS figures would be lower. If you divide earnings of £2.2m in 2012 by 25m shares you get 8.8p not 18.7p.

This may be cheap but its not as cheap as it looks!

Not really, Warrants have to paid for 10p each, (bolsters cash for aquisitions) and the directors pay is probably less than they could command due to share price incentives, which indeed helps the perfomance of the company.

Furthermore remember this company was Awabi, they may have a significant shareholder who may want to unload, due to a change of direction by Carbondesk who reversed into it.

Its a PLUS stock, just about all brokers deal in PLUS I understand, you just need to specify it's PLUS quoted.

Yes unless they have more to sell, otherwise being plus it could jump up pretty quick, meantime its on offer for silly money.
