Yeah, you're right - the shareholding announcements don't always make it clear that Hambro is a subsidiary of Pendal. Doesn't alter the accuracy in the content of post #45 above but I have amended the header to eliminate any duplication.

Having sold 900,000 shares at circa 60p at the end of August, Pendal Group have bought them back at circa 32p earlier this week. Header updated. I also topped up today.

Add to that £5m share buy back to kick in any day. This has to be incredible value short and especially long term. Smoove Start launched today, keep an eye on adoption rate, could add additional meaningful revenue.

Harwood added another 200,000 shares to take their stake up to 13.05%. Over the past 4 weeks they have increased their shareholding by 46.5%. Current EV here is just £4.8m !

Paul, yes the price was dropped to what Harwood were prepared to pay. No other way for the seller to get out quickly.

I use the term strange as optically it looked like the price was walked down in order to let Harwood Capital take a very substantial stake at a very reduced price. They had their due diligence etc conducted extremely quickly in order to purchase shares following a poor enough company update. Still it's a vote of confidence I suppose

I certainly made a mistake in not selling when I had a substantial profit and had some concerns when the new management team originally failed in my view to set out their strategy, but that is water under the bridge and I am still a holder. The big question is whether I would buy more today. If the buy back goes ahead at a decent price there could be a short term gain, but the team refused to answer questions about that saying that they had to consult with their nomad. That was rubbish as they must already have consulted before making the announcement. So I have some concerns over management’s market savvy. Finally, the recent gaffe by the new conservative leader and her chancellor have thrown the housing market into disarray. I like the SMV story, but i think the results will not be seen for some time. So should I hang on? I think I am going to, but I may have to wait a long time to see the upside.

Harwood increased their stake by 43% yesterday, to become the 2nd largest institutional shareholder, taking advantage of the recent price fall. They have more than doubled their position here over the past 5 months (see #20). I don't understand why somebody would consider this opportunity, to increase their holding, by taking advantage of the price drop during the current market malaise, to be "strange". I also added @30.9p on Wednesday, on a speculitive basis, for the same reason.

Preferable to there being no buyer at all!
Harwood are savvy enough to keep some cash on the side for just such opps. And they have a super long term track record in small caps.
Will be interesting to see who the seller was, when/if an rns emerges.

From the final results published in August.

"The Group announces a proposed return of capital to shareholders via a tender offer of up to £5m. The Board believes that this is the best way to achieve a balance between an immediate return of capital to shareholders whilst retaining funds to support value creating new products and business improvements. A resolution authorising the tender offer will be put to shareholders at the annual general meeting which is expected to take place in late September. The tender offer is expected to be completed during October." 22 August 2022

The resolution to enable the company to purchase its own shares was approved by a vote of 99.98% at todays AGM.

This afternoons strange sell off has now reduced the market cap to just £20.3m compared with net cash at the end of Auust of £16.9m. That puts an enterprise value on the current business of just £4.4m - quite a crazy metric!
