Positive trading update today within the admission note:
SigmaRoc has continued to trade well since the October Q3 update. The Company
will provide fuller commentary later in January with results expected to be at
least in line with market expectations*.

*Consensus expectations for SigmaRoc, being the average of forecasts for the
year ending 31 December 2023 provided by analysts covering the Company, are
revenue of £596.9m and underlying EBITDA of £110.2m.

There was a very worthwhile presentation of the rationale of this acquisition on Investor Meet yesterday. A recording will be available soon. Main impression was this opportunity was a game changer that would not occur again. Gives SRC the scale to achieve significant "network effect" benefits. Also creates a group that is no1 or no2 in supply of lime and limestone in their market. Lime is a key product used in multiple aspects of modern life and demand will continue to grow. Not expecting to need to raise fresh capital anytime soon.

Very accomplished performance by Max. Clearly knows his stuff inside out.

Been talking about this deal for 2 years since Sig bought Nordkalk. CRH pivoting towards the US ($2 billion deal announced the day before this one) and Sig were told it was now or never. Sub-optimal bearing in mind the shareprice. Wondering whether large shareholders who were consulted were selling down in anticipation....
£175 million of the acquisition price is deferred for 6 years so leverage not as bad as I had feared.
Think the presentation is a good idea, as unless you had access to the Liberum note (thanks Cerrito for not sending it...!?) you would not appreciate all of the details which SHOULD have been made clear when they made the announcement.

Yes, but additionally any transactionwhich in substance results in a fundamental change in the business or in a change in board or voting control of the issuer.I guess that will the rule which applies here.

I see this is described as a reverse takeover. I though that term was used when a Private company acquired a Public company, thus gaining a SE quote on the cheap.
Can anyone explain ?

I understand that the board wants to build this business via acquisitions, but I have been grumbling for a while now about just how many acquisitions they are doing and the constant "one off" costs. Their corporate advisors are no doubt encouraging them to do more and more as they take their fees from each one, but I really hope this new big acquisition will be the last for some time, but I suspect it will not be. Yes, the deal terms at headline level look ok, but the millions in fees for placings and legals and advisors just keep adding up.I did not apply for any new shares as I feared yet another drop and here we are again lower than the most recent placing price. I guess they must have the backing of major shareholders for this strategy but it is frustrating for me. I like the company and don't want to sell, but I am also not convinced there is much point in buying more of it.

I am surprised that it is holding up so well, as my expectations were it to fall below 40p and slowly slip a little more before a possible bounce but hey ho we will see where it goes over the next week or two.
