09/9/2021 07:27 | Completion of Spire Global acquisition: In accordance with the relevant sale and purchase agreement entered into at the time of the IPO, the Company has acquired for cash 1,105,520 shares in Spire valued at $10.2m and the partners of the Seraphim Space Fund have used all of this cash to subscribe for 7,418,890 new ordinary shares in the Company at a price of 100p per share. These new ordinary shares rank pari passu with the existing ordinary shares in issue. The valuation is based on the volume-weighted average price per share for the interests owned by the Seraphim Space Fund in Spire for the five days trading from and including the date of Spire's listing. The SPIR shares are currently $11.22 (mid) so the valuation is $12.4m (17% rise). SSIT now holds around 4% of SPIR.The Space Fund bought SSIT shares at a 17% discount. ("Spire"), a leading provider of space-based data, analytics and space services, has today completed its proposed merger via a SPAC with NavSight Holdings, Inc. (NYSE: NSH, "NavSight"). The combined company has been renamed "Spire Global, Inc." and its shares have commenced trading on the New York Stock Exchange on 17 August 2021, under the ticker symbol "SPIR" for Spire common stock. As announced at the time of Seraphim Space's IPO, Seraphim Space LP's shareholding in Spire was awaiting transfer into Seraphim Space, pending completion of this transaction. Transfer is expected by end of August 2021 at which time a further announcement will be made. Terms of the transfer are detailed in the prospectus (p28, p54). So the shares will be transferred from the fund to the Investment Trust soon I guess. These four Residual Assets were described in the prospectus. Another great holding for the Investment Trust.
