The Scheme is expected to become Effective on 29 January 2024.

Prior to the Scheme becoming Effective, it is intended that an application will be made to the London Stock Exchange for the cancellation of the admission to trading of the Rotala Shares on AIM, such cancellation to be conditional on the Scheme becoming Effective, and to take effect on and from or shortly after the Effective Date. The last day of dealings in Rotala Shares is expected to be the Business Day prior to the Effective Date as set out in the expected timetable of principal events in the Appendix below. It is also proposed that, as soon as reasonably practicable following the Effective Date, Rotala will be re-registered as a private limited company.

If any of the key dates set out in the timetable change, Rotala will give notice of this change by issuing an announcement through a Regulatory Information Service and by making such announcement available on Rotala's website at www.rotalaplc.com/our-investors/recommended-offer-for-the-company/ .

Don't forget First Group (should they drop back a bit from current levels). I previously had ROL & SGC, didn't do that well from the SGC takeover, I ended up only a bit above breakeven in the finish. I was hoping NEX would have come back with a revised offer for SGC & was ultimately hoping to become an NEX shareholder again, but they only had paper to offer. I do like NEX with how diversified they are in terms of a third of the business in US & Canada, third is Spain & remainder in UK (which does appear to be struggling with profitability at present). I've used my SGC proceeds to top up on ROL & I too have buy orders in place for NEX under £1.90, as it seems to be in a downtrend at present. I'm expecting NX group to either attempt another merger / takeover of possibly First Group in the future, or possibly be on the receiving end of a takeover offer themselves.

I believe ROL has a strong bright future ahead & will be much bigger group in years to come, there are a number of bus companies that are struggling finanacially & are looking to sell out currently. If you look at the Director Shareholdings, they all have decent sums of money invested in the company, Simon Dunn's share holding is his pension, The Dunn's know what they're doing. Plus there are a number of other sizeable shareholders on board investing their personal wealth. ROL doesn't overpay for anything & is very, very thrifty. They acquired all the Johnson's fleet below market value & the bulk of the acquisition costs were attributed to vehicles, similar to the Claribel's deal. Even with the loss of the Warwickshire CC contracts which were all loss making (pvr 14), they still retain a further 14 pvr employed on TfWM, Worcestershire & a Private Uni contract which they are happy with financially. As regards the proposed Worcester cuts, I don't expect to go through with all those proposed service cuts, I personally think it's designed to make the headlines, so support or funding can be found by Worcestershire CC to retain as many services as possible.

I very much doubt they'll be any issues with Bus Drivers being out of work, there's a National shortage of them currently. NXWM are struggling for bus drivers, are missing journey's as a result of staffing issues, have cut frequencies (but are less noticeable on frequent services) & are making cuts behind the scenes to reduce costs too, all Groups & subsidaires are, Governement reimbursment changes from September this year & all Covid related support vanishes.

Unfortunately, times are very different from a decade ago & the good old days...

Re pulling out of one depot in Heathrow they go on to say:

"In the longer term, the board believes that the pre-existing drivers of change in the bus industry will have been further strengthened by the impact of Covid-19. Therefore, we continue to believe that opportunities for growth, both organic and by acquisition, will arise once the crisis has passed.

The phrase "in the longer term"... relates to REUL ONE OF INVESTOR CLUB: "INVEST FOR THE FUTURE"

You might not be aware that Heathrow represents only a small proportion of Rotala's business & they've very recently downsized from two depots down to one, not really a move which suggests there is much optimism for growth in the area in the future. Airport's is not an area where they're actively looking to expand.

Rotala's shareprice has recently gone up due to Director buying & most recently being tipped in Investors Chronical + vaccine news / sentiment.

Your optimism / comments around Airport traffic will be more related to National Express Group, their coach network serves all the major airports and includes Airport car park shuttles etc. Those routes are NX's most profitable corridors

I'm not filling my boots on Rotala shares as typically their price has been range bound over the years, but when the Mkp Cap fell to circa £10 million (20p /share) I have bought in (which mirrors directors buys) & will add on weakness, I've also been buying Stagecoach near it's lows too.

Winston270: You might not be aware but share price RISES relate not to what is happening NOW but what investors think WILL HAPPEN in the next 12 months.

You invest for the FUTURE not for the PRESENT.

The future is rosey for buses that go to airports, and to work places and more or less everywhere.

The present explain why the share price fell a few months back - the rise now is because people are buying for what will happen in the spring.

Just a reminder that Rotala are exhibiting and presenting at the huge Mello2018 investor event at the end of this month so good timing with results just out. I hold quite a few of these in my IHT portfolio and I think they are relatively unknown to investors.

They have never presented at a Mello event before and are scheduled to present on Friday 27th April. Here is the link if any of you would like to come along and meet them....
