Re the recent placing at 1.5p, who is Mr Rogerson??


Related party transaction

Mr S Rogerson (and connected parties) owns 49,022,750 shares in the Company representing 11.80 per cent. of the current issued share capital of the Company and is a "substantial shareholder" in the Company.

Mr Rogerson (and connected parties) has agreed to participate in the Placing, by subscribing GBP60,000 for 4,000,000 Placing Shares as set out below. Mr Rogerson (and connected parties) is participating on the same terms as all other placees.

The participation in the Placing by Mr Rogerson (and connected parties) constitutes a related party transaction under the AIM Rules for Companies.

The Directors, who are considered to be independent directors of the Company for the purposes of AIM Rule 13 in relation to the related party transaction, have considered the participation of Mr Rogerson (and connected parties) in the Placing. Having consulted with SPARK Advisory Partners Limited, the Company's nominated adviser, the independent directors consider that the terms of Mr Rogerson's (and connected parties') participation in the Placing are fair and reasonable insofar as shareholders are concerned.

Only got a small position here. May add more once I see the selling stop.My main niggle is the lack of share ownership by the Directors & why they did not take part in the recent apparently oversubscribed placing.

FC is notoriously difficult for a ‘jobbing’; business with minimal fixed value contracts. With COVID-19 work drying up due to heavy market competition and as the panic buying from March and April has passed I suspect very little gains in H2, quite likely to slip back into losses once the COVID overlaying numbers are stripped out.

That 1 million buy seems to have halted the slide for the moment. hopefully news soon on that forecast.

For anyone who is interested in valuations... (ignoring annual growth rate and PEG, because at the moment the % growth will be irrelevant because its from a loss base)...

At a share price of 1p:

100K profit would give a p/e of 50
150K ... 35
200K ... 25

I'd be very surprised given the positive noises coming from the company if they only did 50K profit in second half, having done 50K in first half.

So, if they did say 150K the p/e is still pretty high. On the other hand that would mean their profits had doubled in the second half, which would look good from a growth point of view, even if it would be a bit false (from low start).

Confusing isn't it ?

Well, I got the cheapest 1m of the day, at 1.147 (showing as a sell).

Shame it just brings my average down to 1.51!

Those sells will now be priced in, hence the drop today.At least it gave me an opportunity to open a position here. I will be looking to add a lot more here as I like the story thus far.

I haven’t added I still hold plenty but I agree with some of cool tools sentiment. Like most aim companies ‘no meat on the bone ‘ yet. We should have one of aims infamous brokers notes out soon to give it a little boost... nice mates rates price today .. 😉

I expect the so called lth will add this afternoon to show 'how easily buyers come in'....


I suspect those recent buys will be sold again in the next few days..
