Thanks. Yes, I'm trying to get to the bottom of this and see what went wrong.

Can members please share which brokers have completed the tender offer without deducting withholding taxes (0%) after submitting the two tax forms correctly? I would like to get an overview and inform my broker. Is it correct that both AJ Bell and Interactive Investor have not deducted anything? And are there any others?

No cash proceeds yet showing up on my interactive investor, though they did say it would probably be after midday, and might be delayed.

Have any other brokers credited the tender offer yet? Lets keep tabs on this and compare notes. If one broker is slower, we may then be able to make a complaint that another broker was faster etc. That might speed them up.

This episode clearly shows that some brokers need some hand holding and guidance when it comes to corporate actions !

The double bank holiday should be heeded in light of the tax year end and money transfer times. If the money arrives on Thursday 28th March, some brokers do a same day transfer but others charge more for it. If it arrives afternoon of Thursday 28th and you request a transfer, it may not start until next working day, Tuesday 2nd April, and you may not get the money until next working day Wednesday 3rd April, with Interactive Investor.

Once again II has a different view, from AJ Bell:

You do not need to resubmit your election again. In fact, our system should prevent you from such as your shares have been transferred into Escrow. The only time table that matters in your case is the timing of when your form needs to be received by.

Just got this response from interactive, in case its of any interest to anyone. It seems I have to fill in the form myself, whereas some chats here suggest some other brokers eg Saxo, Hargreaves Lansdowne, are completing the form on behalf of clients?

Please find the attached Section 302 form.



We can confirm that you have elected to tender your shares therefore you’re to complete a Section 302 form. This will determine how your tender proceeds will be treated for tax purposes.



You can print and sign the form using the below link or alternatively ask us via secure message to send you a copy in the post.

Interactive Investor have not yet replied to my secure message about these two US forms, though they do sometimes take a few days. Has anyone else had a response from them on this specific topic?

(They sent several automated messages about the corporate action, requesting my response, confirming my response was received etc.)

ham74,My understanding is that withholding tax is only applicable to dividends. Normally applied at 30% or 15% with a W-8Ben & 0% in a SIPP.What the S302 form does is allow the investor to pledge that the tender offer isn't a dividend in disguise to get around the withholding tax. If withholding tax is applied with no W-8Ben then the effective return would be £1.05!!

Reading the tender form, do we actually have to fill in a paper form and post it off? Or if the shares are held by a nominee like interactive investor, will they do so on our behalf?

I got the message below from Interactive Investor today. But it does not really make sense since shareholder approval has already been given at the December 14 meeting. Has anyone yet received a corporate action notice inviting them to elect for the tender offer? Or will that only come after the delisting?

The Quarto Group Inc has announced its intention to cancel its listing of Ordinary shares from trading on the London Stock Exchange. This is expected to become effective on 18th January 2024, subject to shareholder approval at the meeting to be held on 14th December 2023.

As the shares will no longer be trading on a supported stock exchange you may choose to sell your holding prior to our last day of trading listed above or transfer your holding to another broker.

If you do not wish to sell or transfer, following the delisting we will endeavour to provide you with a share certificate in relation to your holding, should one be issued by the company in the future.

ISA Customers
Due to restrictions imposed on ISA accounts, unlisted shares are not considered an ISA-qualifying investment. Therefore, we will arrange to move your Quarto Group plc shares to a linked trading account, opening one on your behalf if you do not already have one. If that is not possible, we may attempt to withdraw the shares into certificated form, reregistering them into your own name. Certificates received in respect of ISA accounts will no longer be held within the tax efficient wrapper, so will lose any tax benefits.

SIPP, and Junior ISA customers
Unlisted shares are not considered a qualifying investment for these accounts and withdrawals are not permitted from these products. Consequently, holders may wish to liquidate any holdings prior to a delisting becoming effective.
