Their latest response is far from clear whether they will be completing an S302“I am writing to you to confirm that I have chased this up with our Corporate Actions team and they have informed me that your payment following this tender offer should not be liable to withholding tax, and the S302 form would be filled in by AJ bell to reclaim the tax (using option A) if this payment were subject to withholding tax.” Come on AJBell just fill the bloody form in irrespectively to place it beyond any doubt that it’s not a dividend |
Posted at 20/2/2024 09:47 by cockerhoop Yes, if you fill in an S302 stating you're tendering 100% (Option A) then it's clearly not a dividend so not liable for withholding tax. |

Normally applied at 30% or 15% with a W-8Ben & 0% in a SIPP.What the S302 form does is allow the investor to pledge that the tender offer isn't a dividend in disguise to get around the withholding tax. If withholding tax is applied with no W-8Ben then the effective return would be £1.05!! |

Posted at 25/1/2024 10:10 by bc1984 To be honest, I am not quite happy with the tender offer and I did vote against it but I am accepting the tender offer.Reason: Instead of having a tender offer, the same amount which is over GBP 15mil can be distributed as dividend which would yield over 25% of the share price, I am sure the share price and trading volume will be more beneficial to minority. Right now such "buybacks" at low price is a steal for the controlling parties and insiders and they are not participating in the tender offer. |
Posted at 30/8/2023 12:37 by florence141414 So if they roughly make twice as much in their seasonably favouravable H2 period then we're on for post tax profits of about 5m dollars this year. It could easily be argued that this is the low point of the cycle as customer demand bottomed, freight rates have now normalised and they've eliminated most of the finance costs that were still present in H1. No guarantees of course as the popularity or lack thereof of any one publication in their portfolio is a bit of a lottery and it's possible customer demand gets worse not better. On balance though I think the likelihood is that the market is offering us an opportunity to buy FY24/25 profits of 8-12m at bargain prices. Not to mention that the runway now looks cleared for a dividend declaration if that does turn out to be the case. |
