As a positive they are responsive on the web site contact form. I pointed out yesterday that under the list of major shareholders they had put Annabel Schid instead of Schild. They corrected it within the day...

A development at Havieron has implications for Newcrest's hungry treatment plant at its Telfer gold-copper mine 45kms away. So much so that while Newcrest has yet to say how big Havieron could be, Biswas was happy to say it could restore Telfer to the tier one operation...

Newcrest managing director Sandeep Biswas is awake to all that which is why he devoted a big chunk of his profit briefing to Newcrest's yet-to-fully-form growth options at the Havieron gold/copper project in WA's Paterson province, and at the Red Chris gold/copper project...

"Finding gold is hard and rare. So these kind of drilling results are really exciting," Biswas said of Havieron, where a bulk tonnage opportunity in the breccias in addition to the high-grade "crescent zone" is fast emerging.

Two Shields Investments plc

("TSI", or the "Company")

WeShop Update

Two Shields Investments plc, the AIM quoted investment company with a strategy to build a high-quality portfolio of investments in fast growing and scalable digital and technology enabled businesses, is pleased to announce that WeShop Limited ("WeShop") has appointed Yoav Keren to its Board as a Non-Executive Director. TSI has a 10.7% holding in WeShop. Yoav Keren is the CEO of BrandShield Limited ("BrandShield") in which TSI holds an 11.34% stake alongside a $1.8m Convertible Loan Note.

The appointment of Mr Keren follows the global partnership agreement between BrandShield and WeShop announced by TSI in September 2019. The partnership focusses on the co-development of a global product, merchant and user verification proposition for social ecommerce. This will protect users from fraudulent online merchants, counterfeit product offerings and fake user accounts together with protecting brands from counterfeiting and trademark infringement. WeShop intends to integrate the verification proposition into its B2C and B2B offering across over 100 million products in the UK alone within various marketplaces, further enhancing its credentials as a leading social commerce platform.

Andrew Lawley, Chairman of TSI said:

"The appointment of Yoav to the Board of WeShop highlights the developing relationships and the deepening of the commercial partnership between our two core investee companies. As WeShop pushes forwards with its launch, Yoav's experience in driving BrandShield through impressive annual recurring revenue growth and the scaling of its client base will be invaluable. It should also hasten the relationships required in rolling out the joint, consumer focused fraud protection tools that are so relevant in this era of increasing threat to businesses and consumers as a result of large spikes in online fraud, phishing and counterfeit activities."

The update yesterday said "We intend to be patient and longer-term investors in TruSpine as we have a fundamental belief in the team and the products."They're not interested in a quick turn otherwise they could have sold out of Greatland at 5p and still shown a great return on investment but they believe it will go a lot further. Same with TruSpine...

Well the update's out now:-

Summary

The message to our shareholders remains essentially the same as last quarter and is that, despite the tumultuous events of recent months, our principal listed investment has had an excellent performance and this has continued into the current period. Most notably, our decision to position the portfolio meaningfully toward gold exposure has so far delivered pleasing rewards. Many of our core investments in the technology space, whilst losing some ground, are, we believe, well-placed to benefit in a post-COVID-19 world. We consider that these companies are at the forefront of business process change and expect that, following on from recent capital raising activities, they require little or no additional capital. We feel that Primorus is in a strong position and we look forward to another successful quarter ahead. The Board still sees no requirement to raise any capital in the short to medium term and would like to thank shareholders for their continued support.

I think we will see Ms Annabel Schild increasing her shareholding substantially by acquiring shares from Haleride Ltd.

What is pertinent for Primorus is the price of the new shares being issued. I still stand by my view that it will be multiples of what we paid for our shares.

Of course it could open up at a premium, as sometimes happens with IPOs (that would be nice 🙂 )

My calculations:

Post-money valuation is estimated at £31.5m (RNS)

Therefore pre-money valuation is £30m

Number of pre-money shares in issue is 83.7m (Companies House data)

Therefore pre-money valuation (price per share) will be around £30m/83.7m = 36p

I would like it to me more (I own 20,000 shares in Truspine) but 36p/share looks like the reality

id say prims stake is worth around £1m ..3 percent roughly

£500K investment in 2017 on a pre-new money valuation of £15m. OK, there has probably been a fair bit of dilution of the investment over the recent months; but a valuation today of £600K (as above) seems a bit on the low side.
However, I have not seen the price for the new shares being issued to raise £1.5M.

Could be an interesting Monday morning; there again, there was no reaction Friday afternoon?

So IPO price is approximately 36p/share making the Primorus stake (1,666,667 shares) worth around £600K
