Well as I mentioned before 60-80 would not surprise me Offer pre restructure allows the bidder to structure financials according to their balance sheet and their strengths in any negotiation just imagine an adnoc or an Apollo Or Post it is done for you so both have advantages Maybe the agreement is closer to 60 so the rns gives a little breathing time but not much , my guess a week maxGL

I'm watching the bond price for any indication of takeover activity, control of the bonds is likely to be far more critical than control of the equity.

At present the shareprice is highly volatile and therefore difficult to read.

For me, any significant activity in the bonds could support a T/O theory.

That said I think it's unlikely at present - any potential bidder will want to avoid restructuring costs.

Certainly getting interesting though....

Armbar I was trolling the LSE board this morning and I picked up on some very interesting information from one of the posters on that board who is very much inline with our thinking.

I private messaged and was surprised to get a VERY VERY interesting and detailed report.

We have a buyer this is clear... Now what is the price??

Every valuation model I have worked suggest somewhere between 70 - 90 but PFC's underhanded tactics suggest they will be happy to let this go cheap possibly even as low as 60p?

Keen to get your thoughts please?

Kepler update 11th April

They say that they understand that a D4E option is gaining momentum and that more that 50% of the nominal value would be converted.

They think this includes the bank loans (RCF/TL) so would be $600m plus c. $260m.

And they reckon significant means over 50% D4E.

They are Reduce with 20p price target. A Buy case would be led by a takeover.

My words - no one can judge value until we know the D4E price

If anyone underestimates the impact of D4E on equity holders, take a look at what happened to French Care Home company Orpea over the last 2 years. This was a company with an 8 billion euro market cap, 5 billion revenue, 9 billion of debt.They did a 50% D4E with additional equity injection. Shareholders basically took a 99% haircut.

In my opinionRns gives time for the unknown party to acquire the shares required Joint Venture or Takeover , Someone wants in or wants it all, RNS was unnecessary , slow it down , not quite ready , so either the major shareholders and founder are facilitating a joint venture so an Adnoc or Apollo want a non controlling stake circa 30% and they want shares cheap, the BOD and founder also participate in the PE Private deal cash injection or there is a straight takeover deal and facilitating acquiring as many shares as possible cheaply pre offer.Or A hostile proxy battle is in play which could still be the case question is votes and what level what price 60-80p maybe the RNS was triggered by hostile to facilitate accumulation OrPFC were making a statement to the lenders who are pushing the D4E whilst PFC negotiating part of the collateral to be released, this makes a statement we are also in discussions with other parties and the bod founder who could facilitate a cash injection so play nicely and we are also in discussions re asset sale

Looks like we will have a very exciting week ahead for all concerned... Shorts will be out in force working their narrative, longs will still be trying to figure out heads or tails from the last RNS while still keeping a careful eye on who's mopping up all those shares in the background and somewhere in the middle Petrofac I can't help but feel still have one final card to play... All too play for!

But at the end of the day we all have one thing in common... We all have a very important call to make... BUY - HOLD or SELL!

For me personally I always like to put all cards on the table and then take as many off the table that I possibly can through process of elimination and leave myself with one card which determines my future involvement in the company or not...

For me that one card has a BIG BUYER written all over it and it and I have a feeling we should find out who it is as early as this week!

So needless to say I'm hoping this big buyer delays arriving on Monday morning giving me a chance to grab as many under 25p as I can get my hands on!

To Quote the Legend that is Warren Buffett - "...Be Greedy while others are Fearful!

Despite being caught red-handed in a blatant lie, Mr. Ghhghh refuses to do the decent thing and admit, "My apologies, gentlemen, I misspoke."
Instead, he insists on sharing fragments that do nothing to support his unfounded claim that a 10% rise in stock compels a company statement.
Then, with audacious gall, he persists in his delusion, crafting subsequent posts as if his initial fabrication were gospel truth.
Truly, the parade of deceit and delusion is quite the spectacle here.
Fortunately, more astute contributors are starting to notice these glaring inaccuracies and are rightfully calling them out.

The difference is that it was odd for the share price to go up 13% in the middle of a restructuring that was likely to include significant dilution. Perhaps the FCA wanted clarification that no imminent takeover.

Perhaps the FCA did ask why down 10% and PFC simply said the reason (possible dilutive restructuring) is already in the market.

The FCA are looking for unjustified price movements
