Private and Commercial Finance Group (PCF, 6.5p, £3.32m) Trading statement for the half year to September confirms the group is on track for market expectations, currently £0.2m PBT and 0.4p EPS to March 2010, followed by £1.1m PBT and 1.5p EPS. Sitting on prospectively PERs of Yr1 16.3x and 4.3x Yr2. HOLD.

Trading Statement




The Directors of PCFG, the AIM quoted finance house, are pleased to provide an update on trading following the end of the half year on 30 September 2009.




The Group's results for the six months ended 30 September 2009, which will be released on 15 December 2009, are anticipated to be in line with market expectations.




CEO Scott Maybury said, 'Our Group continues to demonstrate its considerable robustness in the financial services arena. With a strengthened balance sheet following the recently announced placing of new shares and redemption of the 2009 Convertible Loan Stock, we are well positioned for challenging economic conditions that we may encounter in 2010. We continue to benefit from reduced competition in our chosen sectors, which is enabling us to write good quality business on attractive terms and to support our customers and introductory sources.'

Argy could it be the other way round? Litcomp have a bond issue (PCF just settled one of their's) but have announced an approach at 33p. There's lots of speculation as to who and why at that price, but I've put more on the LIN thread as to my 2p worth. Long shot that it's PCF but I think it is for sure a DAN client that's involved and I can't see many possibilities.

When this does move off the bottom I reckon it will move up smartly, I am also waiting for the first move before jumping aboard but I suspect there may be quite a few of us waiting for that signal. It looks a one way ticket to at least double.

Result of EGM and Redemption of 2009 Loan Notes




The Directors of Private & Commercial Finance Group plc ("PCFG" or "the
Company") are pleased to announce that, at the extraordinary general meeting
held today the resolution to approve the placing of ordinary shares announced on
2 September 2009 was duly passed.Admission of the 22,526,664 new ordinary
shares to be issued pursuant to the placing to trading on AIM is expected to
take place at 8.00 a.m. on 28 September 2009.


In addition, in accordance with the terms of the loan note instrument dated 9
April 1999, the Company will redeem at par 1,903,402 convertible unsecured loan
notes ("2009 Loan Notes") on 30 September 2009. The holders of 375,076 2009
Loan Notes have agreed to roll over their investment into a new issue of
unquoted convertible unsecured loan notes expiring on 30 September 2013 with a
yield of 10 per cent. per annum and a conversion price of 25p ("New 2013 Loan
Notes").


Admission of the 2009 Loan Notes to trading on AIM will be cancelled with effect
from 8.00 a.m. on 30 September 2009.


Following the cancellation of the 2009 Loan Notes, the Company will have in
issue 2,630,899 nominal convertible unsecured loan notes expiring on 30
September 2013 with a yield of 8 per cent. per annum and a conversion price of
76p, together with 605,076 New 2013 Loan Notes.
