Results out -




On 14 September 2006, trading in the Company's shares was suspended on the
London Stock exchange - AIM. The shares continue to trade on the Toronto Stock
Exchange. The reason for the suspension was a result of market rumour and an
announcement by the Company that it was in a advanced stage of discussions
relating to a transaction that if completed would result in a Reverse Takeover
of the Company. Management is currently working very hard to conclude these
discussions at which point an announcement will be made which will clarify the
position.


Lots of good stuff in the results. Whether or not Oriel is taken out I think we're on to a winner here IMHO. Offtake agreements and financing to be completed before year end. In addition they have been granted further prospective rights. Plus lots of other goodies.

According to previous history Oriel should have results this week. Wonder if we will get some sort of update regarding the takeover ? Probably not but you never know.

Doubt it will be much before Christmas, though one article suggested it could be a few weeks. It might not happen too!



I would be disappointed with 70p if it is all cash as I think the upside would be greater if Abramovich and IST merged and floated their business rather than an all-out cash-bid. I think there would be huge institutional interest for such a play.

It states that the Oriel stock (a stake?) to be sold on to Roman, but it sounds like shares will be issued for aquiring some of Roman's assets. It's not clear exactly what, but there does appear to be a willingness to combine assets and stay listed. This would put it up a league in terms of m/cap. We'll have to wait and see. Voskhod was acquired by issuing Oriel shares at 50p in Jan 2005. Since then Nickel has tripled, chrome is also tight and they have increased the resource size and mine plan. £1/share would seem more appropriate then conveniently valuing Oriel at $400m+. This would not be an over-valuation given Voskhod would be the 3rd biggest chrome producer in the world, let alone the potential for Schevchenko in current environment to players such as IST/Evraz et al...

My understadning is that combining Voskhod ("Rising") with IST's plant, then selling on stake to Abramovich. What happens to Schevchenko is not clear, but valuation mooted is $400m. Compare with IFL.L where plant not built, and not as good quality cheap ore to mine. Compare current m/cap of C$100m for Oriel (i.e. Voskhod + cash + Schevchenko). One of my relatives speaks some Russian and this is his translation of the relevant para


Para 2: "B", a source close to the shareholders of IST, stated that the group is holding discussions with the British Oriel Resources, PLC about the acquisition of their interest in the chromic iron ore of Voskhod. Discussions have been going on for about half a year and are approaching conclusion. The partner of Mr. Nesis in this transaction is the financier Alexander Mamut who led the negotiations with the Englishmen. "The possibility that he will receive a share in that project cannot be excluded", confirmed our source, nik "B", who is familiar with the details of the transaction. A second source, "B", said that the deal may be closed "within months or even weeks". According to him, the cost of the assets with the book value of the reserves at the time of its purchase Oriel amounted to $400 million and the current buyer is "familiar with these numbers".
Other details of the transaction were not revealed.
The deposits of Voskhod are located in the town of Chromtau in the region of Aktiubinsk. In 2004 international consultants confirmed the presence of chrome ore in the quantity of 18.7 million ton with the content of 46.22% chromite.the deposits lie at depths of 30 and 440 meters. Three kilometers from Voskhod lies the Don Ore Processing Plant of "Kazchrom" of Alexander Mashkevich, the largest in the world.

The group of companies IST is created in 1991. After sale of companies " Polymetals ", "Interterminal" and the Baltic factory the largest actives of group became the Tikhvin factory of transport mechanical engineering "Titran", Íîìîñ-bank and the Brotherly factory of ferroalloys. Owners of group are Alexander Nesis, Alexey Gudajtis, Michael Ushakov and Nikolay Dobrinov.
In opinion of experts, the purpose of this purchase is reception of a source of raw material for Tikhvin ferrosplavnogo a factory. Even in spring IST has declared intention to complete this enterprise which designed capacity will make 135 thousand tons ferrohroma. Initially group IST planned to extract raw material in Kareliya, however during studying deposit Aganazerskoe was found out, what its development is too expensive? Deposits hromitovyh ores have appeared at the bottom of lake.
Participants of the market speak what to carry ore more favourably from Africa, than from Kazakhstan, because of high transport costs. By estimations of experts, mister Nesisu should pay $25? 40 for ton of the concentrate transported by rail. But experts consider, that these expenses are non-comparable to that effect which will be received by the company from purchase of "Rising". The basic charges ferrosplavnyh factories in Russia have just on purchase of raw material. In particular, at Kljuchevskogo a factory of ferroalloys in structure of the cost price ferrohroma 77,8 % are necessary just on raw material. « And in view of what the price on ferrohrom makes $15,8 thousand for ton, expenses IST for transportation will not play the big role »? In the spring the Íîìîñ-bank has promulgated the investment memorandum according to which 22,18 % of actions of bank are supervised by group IST, and 17,44 % belong to Igor Finogenovu, the ex-president of this bank.

At the same time the bank will closely study any investment projects which realization corresponds to strategy of its development and the authorized purposes. Russian Billionaire Roman Abramovich may become a major backer of AIM quoted miner Oriel Resources if takeover talks are successful. Oriel's shares were suspended at 37.5p in London as it confirmed 'advanced stage' talks on a reverse takeover. That followed leaks in Moscow suggesting Abramovich might back a bid. Those close to the negotiations say if a deal is agreed, it would lift Oriel into the big league.
