Orcadian Energy plc

("Orcadian Energy", "Orcadian" or the "Company")



Lock-in agreement



Orcadian is pleased to announce that a six-month lock-in agreement has been signed in respect of 7,049,695 ordinary shares held in the Company by former director of the Company, Greg Harding and his wife, Nora Harding (representing 9.35% of the issued share capital of the Company) (the "Harding Holding").



The agreement provides that Greg and Nora Harding will not dispose of the Harding Holding for the six month period from 23 October 2023, save in certain limited circumstances.



This lock-in was required by a third party who have agreed to acquire the balance of 456,546 Ordinary Shares ("Initial Holding") held by Greg and Nora Harding, pursuant to the terms of an off-market transaction between them. The agreement also provides that if the Orcadian share price exceeds certain price parameters during the lock-in period, the third party will pay a further amount per Ordinary Share for the Initial Holding.



Steve Brown, Orcadian's CEO, said:



"We are pleased that this agreement has been signed. We believe it demonstrates the belief shown in the work we are doing to progress the Pilot project, and the potentially significant value of our licences. We are working hard to promote the Company and have recently welcomed new investors to the Company.



"We look forward to providing updates on the proposed farm-in to the Pilot Project and to the outcome of our applications in the 33rd Offshore Licensing Round."

Wow!!! I missed seeing this yesterday but have it firmly in my sights now. Hugely undervalued if they can get the deal signed - and why would they not!! I agree with you ch4p.
I see they are doing an Investor With Company thing live tomorrow. I'm going to sign up for that one. Should get more color from the horses mouth rather than the NOMAD grey of the RNS.

The impact on Orcadian is clear, we will focus on attracting UK producing and tax paying companies as partners in, or new owners for, the Pilot development. We do have another approach to financing the development, which is to find investors willing to furnish the required facilities in return for a tariff or day rate.

This infrastructure financing arrangement could create a very attractive project for investors, and we are now preparing to engage with specific funding and contracting parties based in the Middle East.

Our absolute focus is to find a farm-in partner or a new owner for Pilot and our intention is to elicit offers during 2Q and 3Q of 2023 so that a new operator can take the project forward; a project which will help deliver a secure transition for the UKCS.

We are in active discussions with potential new investors as Orcadian needs additional working capital to secure the best deal for shareholders on Pilot.

Those discussions have been buoyed by the identification of two new prospects on our licences which have been illuminated by the quantitative interpretation work done for us by TGS. These prospects are likely to contain a lighter oil than seen on Pilot and have a very high chance of success as well as a relatively low cost to drill. We will update shareholders on these discussions as soon as possible."

The Company's flagship project Pilot has the potential to be a leading-edge, low-carbon development and we estimate emissions can be as low as 2.6 kgCO2e/bbl, against a North Sea average of 25 kgCO2e/bbl.
