Dividend Declaration

As announced on 6 June 2023, the NewRiver Board has declared a dividend of 3.2 pence per share in respect of the year ended 31 March 2023. This dividend is subject to shareholder approval at the Annual General Meeting to be held on 26 July 2023 and will be paid as a Property Income Distribution (PID).

The dividend payment date will be 4 August 2023 and the dividend will be paid to shareholders on the register at close of business on 16 June 2023. The ex-dividend date will be 15 June 2023.

Shareholders can receive additional new ordinary shares in the Company instead of their cash dividend, with no dealing charges or stamp duty incurred, under the Company's scrip dividend scheme. To receive the scrip dividend, shareholders need to make an election ahead of the dividend election date on 7 July 2023.

Details of the price at which the new ordinary shares will be issued will be announced via RNS ahead of the dividend election date. Certificates in respect of the new ordinary shares will be despatched on the dividend payment date.

Scrip Dividend Scheme

At the Annual General Meeting held on 14 August 2020, shareholders approved the renewal of the scrip dividend scheme. Shareholders can receive additional shares in the Company instead of their cash dividend, with no dealing charges or stamp duty incurred.

To elect to receive additional new ordinary shares of 1 penny each in the capital of the Company instead of a cash dividend, shareholders need to log onto www.signalshares.com and follow the instructions. For certificated shareholders, the election will apply to all future relevant dividends unless cancelled. For shareholders who hold their shares in CREST, an election will be required for each relevant dividend.

Shareholders should read the scrip dividend scheme booklet, which contains the terms and conditions applicable to the scrip dividend scheme, before deciding to make an election. A copy of the scrip dividend scheme booklet can be found on the "Scrip Dividend Scheme" web page within the "Investor Centre" section of the Company's website www.nrr.co.uk.
