" ... the Company is now pleased to announce that it has signed a non-binding letter of intent ("LOI") to acquire the entire issued share capital of Big Sofa Limited ("Big Sofa") for new shares in New World (the "Acquisition"). The Acquisition, if completed, would result in New World shareholders having around 45 per cent. of the enlarged group (the "Group") prior to the impact of any associated fund raising.
... It is also envisaged that the Group will seek to raise additional funds from both existing shareholders and new investors to finance the development of the Group going forward. ..."



I also like the fact that NEW will have a nice big chunk of the enlarged equity: i.e. 45% (prior to the fundraising), not far short of the 49% maximum for a RTO.

Big Sofa itself is being acquired for shares only rather than any cash element, so with NEW's existing resources, the fundraising shouldn't need to be too large.

RB,

NEW has plenty of cash, so it makes sense to RTO (reverse takeover) a company that needs cash, i.e. a synergy between the two.

OPTI, which ten-bagged, and many of the most successful RTOs, were also in need of cash.

why lend money to a company you are buying? why does the target need your money? why not buy it out of administration for less?

And NEW shareholders should certainly be sitting comfortably after today's very exciting news!!

Well the new team will want to be in at a cheap price, so there may be a dip whilst that happens.

Can anyone give a list of all AR's shell takeovers?

People seem to think he is the investing messiah, I would like to know how many shells he has taken over, and what they were, so we can run a form check.

Just got some news from my man with good contacts, he is telling me that lawyers are finalising a tie up, could be news as early as next week....if the share price starts to tick up this week or early next then the news has hit certain players...watch this space, hold and buy it's gonna be good......AR will not let shareholders down....
